Sabre (SABR): Constellation's $1.72 Bet on a Levered Toll Road — V2 Revaluation, Oct 15 2026

by psind707

Valuation by Damodaran | V2 October 15, 2026 (V1 October 11) | Price $1.795 (Oct 14 close) | Data: SEC filings, Massive (Polygon), Alpha Vantage

Verdict (V2): UNDERVALUED, modestly. Equity value about $2.28 per share (range $1.88 to $2.65) vs $1.795, about 27% upside. At the market-implied volatility the model gives $1.88, almost exactly the price: the market is pricing Sabre roughly in line with my scenario mix. Value label only; no trade rating.
Correction to V1. V1 (Oct 11) published $4.26 per share. That was wrong in method, not in the business view. My own rule requires valuing equity as a call option when net debt exceeds 4x EBITDA or claims exceed 3x market cap; Sabre is at 6.6x and 5.5x. V1 used a linear method (business value minus debt) that ignores the cash paid to debt holders before Sabre can grow into its debt. V1 also overstated the refinancing interest saving (about $15M a year claimed; actual about $5M).

1. The business

Sabre is the number-two global distribution system (GDS), with about 36% of agency air bookings: the toll road connecting airlines to travel agencies, OTAs and corporate travel managers. Airlines pay a fee per booking (average $6.30 in Q2, up 4%); Sabre passes part back to agencies as incentives.

BookingsAbout 92M a quarter; air +1% in Q2, +3% in H1
FY26 guidanceAdj. EBITDA about $600M (+12%); FCF about -$65M; interest about $497M
MixCorporate about 45% of volume (industry 25 to 30%); OTAs 20 to 25% of intermediary volume (CEO)

Insider check (12-month Form 4 history): no open-market purchases by Sabre management, only grants and tax withholding (CEO granted 1.82M shares in May). The only open-market buyer was Constellation.

3. AI agents

Management view (quoted): AI makes Sabre "more essential, not less"; agentic AI "will emerge as a distribution channel that's very material," but upside is "too early to quantify" and not in guidance. No pricing model for AI bookings has been disclosed.

Sabre MCP: "nearly 80 customers both piloting and in full production" (Sept 21 release), no booking volumes disclosed. Booking Holdings says AI-driven room nights are "significantly below 1%." My interpretation: AI lowers the technical barrier to building a GDS alternative (search, content normalization), not the commercial one (airline contracts, ticketing, settlement, scale). The main risk is fee compression rather than volume loss: a $0.50 lower average fee is roughly $90M of EBITDA and about $0.7B of business value.
