Rakuten Group (4755.T) — Sum-of-Parts Valuation: Mobile Turnaround Trade at ¥760

by psind707

Published: May 5, 2026 | Price: ¥760 (May 4, 2026) | Rating: LONG (moderate conviction) | PWFV: ¥908 | Time horizon: 12-24 months

TL;DR

Rakuten Group trades at ¥760, down ~29% from 52-week high of ¥1,068 despite achieving its multi-year thesis milestone: Rakuten Mobile reached first-ever full-year EBITDA profitability of ¥28.8B in FY2025 (a ¥65B YoY swing). The market is pricing the Mobile segment as a melting ice cube, giving essentially zero credit for the turnaround beyond bare EBITDA breakeven.

Sum-of-parts analysis suggests probability-weighted fair value of ~¥908 per share, implying ~20% upside. The trade requires patience through Q1 FY2026 print (May 14, 2026) and 2-3 quarters of continued Mobile execution. Refinancing risk in a rising JGB yield environment (10Y at 2.51%, 17-year high) is the primary bear case.

This is a patience trade, not a catalyst trade.

FY2025 Results — The Headline Story is Real

Reported February 12, 2026:

Segment Revenue YoY Non-GAAP OI EBITDA
Internet Services ¥1.37T +6.8% ¥88.9B (+4.5%) ~¥130B
FinTech ¥975.9B +19.0% ¥199.9B (+30.3%) ¥250B+
Mobile ¥482.8B +9.6% -¥161.8B (improved ¥47.1B) +¥28.8B (first profit!)
Consolidated ¥2.5T +9.5% ¥106.3B ¥435.9B (+33.7%)

The Crown Jewel Achievement

Rakuten Mobile achieved first-ever full-year EBITDA profitability of ¥28.8B vs -¥36.3B prior year — a ¥65B YoY swing. This was the central thesis for the long after a six-year capex/loss cycle.

Subscriber milestone: crossed 10M subs in December 2025 (1.71M YoY net adds, +143.8% in MNO net additions).

Important caveat: Mobile is still loss-making on a Non-GAAP operating income basis (-¥161.8B). EBITDA-positive ≠ operating profitable. The path from EBITDA breakeven to operating breakeven is another 2-3 years.

Other FY2025 Highlights

Why the Stock Fell on a Great Print

Stock dropped -11% post-earnings despite record revenue and Mobile breakeven. Five reasons:

  1. Stock had run +30% into the print — buy the rumor, sell the news dynamic
  2. Q4 FinTech valuation losses raised quality-of-earnings questions
  3. FY2026 guidance seen as cautious (Mobile self-funding policy implies tighter capex discipline)
  4. Refinancing pressure — Japan 10Y yield at 2.51% (17-year high) vs 0.5% when Rakuten took on much of its debt
  5. Yen weakness + Iran conflict weighing on Japanese consumer discretionary stocks broadly

WACC Derivation

Input Value
Rf (10Y JGB May 4, 2026) 2.51% (17-year high)
Japan ERP (Damodaran) 5.5%
Beta (Rakuten) 0.68
Cost of equity 6.25%
Cost of debt (pre-tax) ~3.0-3.5% (Rakuten spreads ~50-100 bps over JGB)
After-tax cost of debt ~2.3%
Capital structure ~50% debt / 50% equity (excl FinTech)
WACC (non-FinTech) ~4.3%

Low WACC structurally favorable to Japanese names but the rising rate environment is the real headwind — Rakuten's blended debt cost will rise as bonds get refinanced at +200bps higher rates.

Sum-of-Parts Valuation

This is the only honest way to value Rakuten given three distinct businesses with vastly different multiples.

Segment 1: Internet Services (E-Commerce + Travel + Symphony + Viki + Kobo)

Comp Multiple
Coupang EV/Sales 1.8x
Amazon (mature retail+) EV/EBITDA 18x
JD.com EV/Sales 0.4x
Mercari (Japan) EV/Sales 1.5x

Apply 6-8x EBITDA = ¥810B-1,080B

Segment 2: FinTech (Card + Bank + Securities + Insurance + Pay)

This is the gem. ¥975.9B revenue, ¥199.9B operating income.

Approach Value
8x EBITDA on ¥250B (modest for fintech) ¥2.0T (probably too high)
Public market value of Rakuten Bank stake (~¥800B) + Card (private ~¥700B) + Securities (private ~¥400B) ¥1.6-1.9T
Sanity check: PE ratio applied to net income ¥1.4-1.7T

Take ¥1.4-1.6T midpoint — most analysts use this approach.

Segment 3: Mobile (Rakuten Mobile + Symphony)

The swing factor. Just hit EBITDA breakeven.

Two valuation approaches:

A. Forward-looking (bull): If Mobile reaches ¥150-200B EBITDA by 2028 × 6x = ¥900B-1.2T, discount back at 10% over 3 years = ¥680-900B today.

B. Current (bear): ¥28.8B × 8x (premium for growth) = ¥230B, plus Symphony optionality ¥100B = ¥330B today.

Midpoint: ¥500-700B for Mobile + Symphony.

Non-Operating: AST SpaceMobile + Other Minorities

Add ¥150-250B for these.

Less: Net Debt + Holding Company Discount

SOTP Summary

Segment Bear Base Bull
Internet Services ¥700B ¥900B ¥1,100B
FinTech ¥1,300B ¥1,500B ¥1,800B
Mobile + Symphony ¥350B ¥600B ¥900B
Other (AST, minorities) ¥150B ¥200B ¥250B
Gross Asset Value ¥2,500B ¥3,200B ¥4,050B
Less: Net debt (non-FinTech) -¥900B -¥850B -¥800B
Less: HoldCo discount @ 17.5% -¥280B -¥410B -¥570B
Net Equity Value ¥1,320B ¥1,940B ¥2,680B
Per share (2.17B shares) ¥608 ¥894 ¥1,235

Probability weighting (25/50/25):

Reverse SOTP — What's the Market Pricing?

At ¥760 × 2.17B = ¥1,650B equity value Plus ~¥850B net non-FinTech debt = ¥2,500B EV Plus 17.5% HoldCo discount add-back = ¥3,030B implied gross asset value

If FinTech is worth ¥1,500B and Internet ¥900B, the market is implying only ¥630B for Mobile + Symphony + everything else — essentially zero credit for the Mobile turnaround beyond bare EBITDA.

This is the bull's argument: Mobile is being valued as a melting ice cube despite hitting breakeven.

Three-Scenario Per Share Valuation

Scenario Prob Catalyst PT
Bear 25% Refinancing crunch as JGB yields rise; Mobile sub growth stalls; FinTech loses momentum ¥608
Base 50% Mobile reaches 12M subs by mid-2027; FinTech compounds at 15%; refi at manageable spreads ¥894
Bull 25% Mobile hits 15M subs; meaningful Mobile op income; AST SpaceMobile commercial launch; AI contribution triples per management guide ¥1,235

PWFV ≈ ¥908 → ~20% upside from ¥760

Peer Valuation Comparison

Ticker EV/Revenue EV/EBITDA Net Lev Notes
Rakuten 4755 0.66x 5.7x High Conglomerate discount
KDDI 9433 1.2x 6.5x 1.5x Pure mobile/financial
SoftBank Corp 9434 1.0x 5.8x 2.5x Mobile-heavy
NTT 9432 1.1x 6.3x 2.0x Quasi-utility
Coupang 1.8x 35x <1x E-commerce premium
Amazon 3.5x 18x <1x E-commerce premium
Sea Ltd 4.2x 28x <1x Asia tech premium

Rakuten trades at the lowest revenue multiple in this group — the conglomerate discount is severe. A clean SOTP would suggest the parts are worth meaningfully more than the whole, but capital structure complexity (perpetual bonds, minority stakes, FinTech regulatory capital) makes the discount semi-permanent.

Investment Conclusion

Rating: LONG with moderate conviction — ~20% upside to PWFV ¥908.

Sizing

Path

This is a patience trade, not a catalyst trade. The Mobile turnaround is multi-year, FinTech compounding is slow, and the conglomerate discount is structural. The risk-reward at ¥760 is genuinely asymmetric (¥608 bear vs ¥1,235 bull), but the path to PWFV requires execution across multiple businesses simultaneously.

Single-Leg Options Note

ADR (RKUNY) options are extremely thin in the US. JPN options on 4755 are available via Japanese brokers but have low liquidity. Stock-only is the practical expression unless you have direct TSE options access.

Honest Caveats

  1. Refinancing math is the swing factor. I built this assuming Rakuten can roll debt at 4-5% rather than 6-7%. If JGB yields keep rising and credit spreads widen, the bear case dominates and PWFV could compress to ¥700.

  2. Q1 print timing is awkward. Buying ahead of May 14 print = catalyst risk. The Q4 print fell -11% on a "good" report. Better to size in stages: 0.5% now, 0.5% post-print if guidance reaffirmed.

  3. Conglomerate discount is real and persistent. Mikitani has resisted breaking up the company despite repeated calls. Don't model your way out of structural ownership friction.

  4. Bookings deceleration mentioned in DUOL/RBLX analysis isn't really applicable here. Rakuten's revenue is largely transactional GMS (e-commerce, payments, mobile usage) rather than subscription bookings. The "rate of change" question is whether Mobile sub adds and FinTech account growth continue, not deferred revenue dynamics.

The setup is interesting at ¥760 but the true asymmetry shows up only if you can hold through the May 14 print and the next 2-3 quarters of Mobile execution.
