ORGO Organogenesis - Equity Research Note (Apr 30, 2026)
Equity Research Note | Updated August 7, 2026 (post Q2 2026 earnings + ATM financing)
Recommendation: SELL / AVOID | Fair Value: $1.00–1.30 | Current: ~$1.96
Update August 7, 2026 (financing): Alongside the Q2 print, ORGO filed a $75M ATM equity program (BTIG / Citizens JMP) AND disclosed that the Series A preferred's anti-dilution price protection is now active. Both are dilutive. This is the financing event flagged in the prior update as the dominant near-term catalyst — it has arrived, and it confirms the cash crisis was real. The ATM at current prices implies ~30% share dilution; the preferred anti-dilution ratchet reduces the conversion price from $3.79 toward $3.51 (and lower if the ATM sells below that), adding to a 39M+ share overhang. Fair value falls to $1.00–1.30 (prob-weighted ~$1.18) on a fully diluted basis. Reaffirming SELL/AVOID. At $1.96 the stock remains above fair value.
The Financing Package (Filed August 6, 2026)
1. ATM Equity Program — $75M, dilutive at distressed prices
| Term | Detail |
|---|---|
| Capacity | Up to $75.0M aggregate |
| Agents | BTIG, LLC and Citizens JMP Securities |
| Commission | Up to 3.0% |
| Shelf | S-3 (No. 333-281392), effective Aug 2024 |
| Assumed shares (at $2.37) | 31,645,569 (24.6% of current) |
| Shares at current $1.96 | ~38.3M (29.7% of current) |
| Net proceeds if fully sold | ~$72.8M |
The lower the stock price, the more shares must be issued for the same $75M — so an ATM into a falling stock is self-reinforcing dilution. At $1.96, full utilization means ~38M new shares (~30% dilution) versus ~32M at the $2.37 reference.
2. Preferred Anti-Dilution Reset — the hidden ratchet
The Series A convertible preferred contains weighted-average anti-dilution price protection. Any ATM sale below the $3.7917 conversion price automatically lowers that conversion price and increases the share count issuable on conversion:
| ATM executed at | Pref conversion price | Pref as-converted shares |
|---|---|---|
| (initial) | $3.7917 | 39.0M |
| $2.37 | $3.51 | 42.1M (+3.1M) |
| $1.96 | ~$3.37 | ~43.9M (+4.9M) |
| $1.50 | ~$3.15 | ~47.0M (+8.0M) |
So the ATM triggers a double dilution: new common shares sold directly, PLUS an expanding preferred overhang via the ratchet. Every dollar raised below $3.79 makes the preferred claim larger in share terms. Avista (the preferred holder) is structurally protected against the dilution that common holders absorb.
3. Fully Diluted Share Count — the real denominator
| Component | Shares |
|---|---|
| Current common (June 30) | 128.7M |
| + ATM at $1.96 (full) | 38.3M → 166.9M |
| + Preferred as-converted (ratcheted) | 43.9M → 210.8M |
| + RSU/PSU | 5.6M → 216.4M |
| (Options 13.1M excluded — wtd-avg strike $4.43, deeply OTM) | |
| Fully diluted | ~216M (+68% vs current basic) |
What The Financing Does — and Doesn't — Fix
Buys time: If fully executed, the ATM lifts cash from $46.8M to ~$119.5M, extending runway from ~1.2 quarters to ~3 quarters at the ~$40M/quarter burn. This removes the acute going-concern risk that a zero-financing scenario implied — the company is no longer weeks-to-a-quarter from a wall.
At a heavy cost: ~30% direct dilution plus an expanding preferred overhang, spread over a shrinking business. The equity value per share falls even if enterprise value holds, because the same pie is split across ~68% more shares.
Doesn't fix the business: Revenue is still guided down 62–68% for FY26. The ATM funds the burn; it doesn't restore wound-care demand or margin. And it may not fully execute — selling 38M shares into a thin, falling stock is difficult, and management has said its capacity to sell is reduced when the price sits below the conversion price (to avoid triggering the ratchet). So the $72.8M is a ceiling, not a certainty.
The Avista dynamic is now explicit: The preferred holder is anti-dilution-protected while common holders eat the raise. This asymmetry — flagged in prior updates — is now contractually visible in the ratchet. Any future capital need strengthens Avista's hand further.
Updated Valuation (Fully Diluted)
Snapshot
| Price | ~$1.96 |
| Current shares | 128.7M |
| Pro forma fully diluted | ~216M |
| Cash (June 30) | $46.8M |
| Cash post-full-ATM | ~$119.5M |
| Series A Pref (liq pref) | $148.0M (compounding 8%) |
| Runway post-ATM | ~3 quarters |
Fair Value Re-Derivation (pref as senior claim, common = residual, post-ATM share count)
| Multiple | Revenue | Per share |
|---|---|---|
| 1.00x EV/Sales | $197M | $0.94 |
| 1.20x EV/Sales | $197M | $1.18 |
| 1.35x EV/Sales | $197M | $1.35 |
| 1.35x EV/Sales | $225M (FY27 recovery) | $1.58 |
Updated Joint-Probability Fair Value
| Outcome | Prob | FV |
|---|---|---|
| Bull–Bull: wound stabilizes + ReNu approved, ATM modest | 8% | $3.50 |
| Bull–Bear: some recovery, ReNu CRL | 14% | $1.80 |
| Bear–Bull: wound ~$200M, ReNu approved, heavy ATM dilution | 25% | $1.60 |
| Bear–Bear: wound stays low, ReNu CRL, full dilution | 33% | $0.60 |
| Deep distress: preferred restructuring / further raises | 20% | $0.25 |
Probability-weighted fair value: ~$1.18. Range $1.00–1.30. Down from ~$1.53 pre-financing — the ATM/ratchet dilution lowers per-share value even though it reduces bankruptcy risk. The distress branch eases slightly (financing secured) but the dilution across all branches more than offsets it.
Q2 2026 Recap (the print that accompanied the raise)
| Metric | Q2 2026 | vs |
|---|---|---|
| Net revenue | $42.8M (–58%) | 21% below $54.3M consensus |
| Advanced Wound Care | $36.1M (–61%) | — |
| Surgical & Sports Medicine | $6.7M (–18%) | now declining too |
| Gross margin | 45% | vs 73% PY |
| Adjusted EBITDA | –$34.4M | vs –$3.6M PY |
| Net loss | –$96.3M | incl. $45.4M DTA write-off |
| Cash (June 30) | $46.8M | from $94.3M (Dec) |
FY26 guidance cut a second time: $270–310M → $179–215M (–62% to –68% YoY; H2 now guided –64% to –74%). This is the reason the raise was necessary and the reason it's dilutive-at-distress rather than opportunistic.
Recommendation: SELL / AVOID
- At $1.96, the stock trades above the ~$1.18 fully diluted probability-weighted fair value.
- The financing removes the acute bankruptcy tail but transfers value from common holders to the balance sheet and to Avista via direct dilution and the preferred ratchet.
- The ReNu optionality is now spread across ~68% more shares — even a 2027 approval is worth materially less per share than before the raise.
- MDXG remains the cleaner vehicle for wound-care recovery exposure: $100M net cash, no preferred, no ATM overhang, growing Surgical segment, –15% revenue vs ORGO's –65%.
What would change the call: ATM executes only lightly (less dilution than modeled) AND Q3 shows genuine sequential stabilization; OR early-positive ReNu review signals with the balance sheet stabilized. Both are possible but not the base case.
The core problem in one sentence: ORGO has bought ~3 quarters of survival at the cost of ~30% direct dilution plus an expanding preferred ratchet, on a business still shrinking 60%+, with the one real upside catalyst (ReNu, April 2027) now divided across a much larger share count.
Catalyst Sequence
- Ongoing — ATM execution pace (watch quarterly share-count disclosures; faster selling = more dilution)
- Q3 2026 (November) — first read on whether sequential stabilization is real; further guidance risk
- Watch for — any second raise, preferred amendment, or Avista transaction
- April 24, 2027 — ReNu PDUFA (upside catalyst, now heavily diluted)
Verification
ATM terms from Form 8-K and 424B5 prospectus supplement filed August 6, 2026 (SEC): $75M capacity, BTIG/Citizens JMP, 3.0% commission, up to 31,645,569 shares at the $2.37 reference. Preferred anti-dilution: conversion price $3.7917 → $3.51 at $2.37 ATM pricing; 39,023,068 → 42,142,023 as-converted shares (company-disclosed pro forma). Net tangible book value $256.4M / $1.99/share as of June 30, 2026 (company-disclosed). Q2 figures from the Q2 2026 press release / 8-K. Lower-price ATM and ratchet scenarios ($1.96, $1.50) are analyst estimates using the weighted-average anti-dilution formula, flagged as such.
Equity research analysis. Not investment advice. This name carries active dilution (ATM in progress) and structural preferred anti-dilution risk; per-share value declines as the ATM executes. Single-leg option structures should account for the expanding share count and the fact that the dominant near-term driver is financing mechanics, not operations.
