JFrog (FROG) — SELL/AVOID at $52.58: SBC Math Breaks the Bull Case
Published: May 5, 2026 | Price: $52.58 (May 4, 2026) | Rating: SELL/AVOID | PWFV: $22.70 | Time horizon: 12-24 months | Catalyst: Q1 2026 earnings May 7, 2026 AMC
TL;DR
JFrog has rallied ~17% in the past week to $52.58 ahead of Thursday's Q1 print. The bull narrative — DevOps platform + AI model registry + security upsell — is real. But owner economics break the valuation: SBC at 72% of revenue means owner FCF is negative ~$242M annually despite reported FCF of $142M.
PWFV: $22.70 — implying ~57% downside. This is the harshest call of today's research. Even my bull case PT ($48) is below current spot. The market is pricing FROG above its own bull-case scenario.
This is the least attractive name of the 8 analyzed in the past 24 hours on an owner-economics basis. If you want AI infrastructure exposure with better economics, Kurita Water (6370.T) is a much cleaner LONG. If you want DevOps platform exposure with cheaper multiples, GitLab (GTLB) at 6.5x EV/Sales beats FROG at 9.6x.

What JFrog Does
DevSecOps platform for managing the software supply chain — particularly binaries, packages, and now AI/ML models.
Core products:
- JFrog Artifactory: Universal binary repository (the "system of record" for software artifacts)
- JFrog Xray: Security scanning for vulnerabilities
- JFrog Advanced Security + Curation: Newer security suite (10%+ of ARR)
- JFrog Distribution / Mission Control / Insight: Distribution and observability
- AI/ML model registry: New positioning as "the model registry of choice"
CEO Shlomi Ben Haim's framing: "The market is experiencing a tsunami of binaries accelerated by AI. JFrog was built from day one to handle exactly this asset at this scale."
FY2025 Results (Reported Feb 12, 2026)
| Metric | FY2025 | YoY |
|---|---|---|
| Revenue | $531.8M | +24% |
| Cloud revenue | $243.3M | +45% |
| Cloud as % of total | 46% (vs 39% prior) | shifting |
| Customers >$100K ARR | 1,168 | +50% (from 1,018) |
| Customers >$1M ARR | 74 | +42% (from 52) |
| Net Dollar Retention | 119% | strong |
| Gross margin (GAAP) | 76.8% | -0.3 pts |
| Operating margin (GAAP) | -17.3% | improved 4 pts |
| Non-GAAP operating margin | 17.3% | strong |
| Non-GAAP diluted EPS | $0.82 | beat |
| Net loss | -$71.8M | improved |
| Free cash flow | $142M | 27% margin |
| Cash + short-term investments | $651M+ | net cash $692M |
| SBC (FY2025) | $384M | +25.2% YoY |
| SBC as % revenue | 72% | very high |
The SBC Problem
This is the central valuation issue:
- FY2025 SBC = $384M
- FY2025 revenue = $531.8M
- SBC = 72% of revenue
- FY2025 FCF = $142M
- FY2025 owner FCF (FCF - SBC) = -$242M
Reported FCF is $142M positive, but owner FCF is negative ~$242M because shareholders are funding most operations through dilution. Share count grew 6.0% YoY despite a $100M buyback authorization to "offset dilution."
This makes FROG one of the highest-SBC names in software. Per Damodaran discipline: SBC is a real cash expense.
Q1 2026 Guidance (Issued Feb 12, 2026)
| Metric | Q1 2026 Guide | Implied YoY |
|---|---|---|
| Revenue | $146-148M | +20% midpoint |
| Non-GAAP OI | $25-26M | margin ~17% |
| Non-GAAP EPS | $0.20-0.22 | strong |
| Share count assumption | 127M | +6% YoY |
FY2026 Full Year Guidance:
- Revenue: $623-628M (+17.5% midpoint, deceleration from 24% in 2025)
- Cloud baseline growth: 30-32%
- Net Dollar Retention: 117% (down from 119% in 2025)
- Gross margins: 82-83% (non-GAAP)
- Non-GAAP EPS: $0.88-0.92
Key concern: Growth deceleration — 24% → 17.5% guidance is meaningful, and Wall Street is taking it negatively.
WACC
| Input | Value |
|---|---|
| Rf (10Y UST May 4, 2026) | 4.45% |
| US ERP (Damodaran) | 5.0% |
| Beta (StockAnalysis 1.16) | 1.16 |
| Cost of equity | 4.45% + 1.16 × 5.0% = 10.25% |
| Net debt | -$692M (net cash) |
| WACC | ~10% |
Current Valuation Multiples
| Metric | Value |
|---|---|
| Market cap | ~$6.68B |
| Net cash | $692M |
| EV | ~$5.99B |
| 2025 Revenue | $531.8M |
| 2026E Revenue (mid-guide) | $625.5M |
| 2025 Cloud revenue | $243.3M |
| 2026E Cloud revenue | ~$320-340M |
| EV/2025 Revenue | 11.3x |
| EV/2026E Revenue | 9.6x |
| EV/2026E Cloud Rev | 18.6x |
| 2026E Non-GAAP OI | $108M (mid-guide) |
| EV/Non-GAAP OI (2026E) | 55x |
| 2026E FCF | ~$170-180M |
| EV/FCF (2026E) | ~33x |
| EV/Owner FCF (FCF - SBC) | NEGATIVE ($170M - $400M+ SBC = -$230M) |
The owner FCF math is brutal. JFrog has effectively negative true cash generation when SBC is properly recognized as a cash equivalent expense.
Three-Scenario DCF
Approximate 2030 share count assumption: 145M (current 127M + ~3% annual dilution net of buybacks)
Bull Case (25% probability) — AI binary tsunami works, security takes off
- 2030 Revenue: $1.2B (18% CAGR)
- Cloud: 70% of revenue
- Non-GAAP OI margin: 22%
- True owner FCF margin: 15% (SBC normalized as % of revenue declines)
- 2030 owner FCF: $180M
- Apply 35x multiple (premium for AI infra positioning)
- Equity value: $7.0B
- Per share: $48 (close to current!)
Trigger: AI model proliferation drives Artifactory consumption; security attach rate accelerates from 10% to 25% of ARR; SBC discipline kicks in at scale.
Base Case (45% probability) — Steady growth, margin slow build
- 2030 Revenue: $1.0B (14% CAGR)
- Cloud: 65% of revenue
- Non-GAAP OI margin: 20%
- True owner FCF margin: 10%
- 2030 owner FCF: $100M
- Apply 25x multiple
- Equity value: $3.0B
- Per share: $21
Trigger: Revenue grows 14-16% range; security stays ~15% of ARR; SBC remains elevated; 2026 deceleration trend continues.
Bear Case (25% probability) — Growth disappoints, AI doesn't materialize as binary play
- 2030 Revenue: $750M (8% CAGR)
- Cloud: 55% of revenue
- Non-GAAP OI margin: 15%
- True owner FCF margin: 3%
- 2030 owner FCF: $25M
- Apply 12x multiple (value compression)
- Equity value: $700M
- Per share: $5 (mostly the cash on balance sheet)
Trigger: Revenue growth slips below 15%; competitive pressure from GitHub Packages, Sonatype Nexus, AWS CodeArtifact; SBC remains 60%+ of revenue; AI thesis falters.
Probability-Weighted Fair Value
PWFV = $48 × 0.25 + $21 × 0.45 + $5 × 0.25 PWFV = $12.00 + $9.45 + $1.25 = $22.70
vs spot $52.58 = ~57% downside to PWFV
Reverse DCF — What's Implied at $52.58?
EV $5.99B at 10% WACC, 2.5% terminal growth implies perpetual FCF of $450M.
- Current owner FCF: ~negative $240M
- Required to justify: $450M in perpetuity
- Path requires: Revenue ~$1.3B at 35% true owner FCF margin
- Implied implicit growth: ~20% CAGR for 6+ years AND massive SBC reduction
This is aggressive. The current price requires JFrog to:
- Grow revenue 20%+ CAGR (above their own 17.5% guide)
- Cut SBC from 72% of revenue to ~25% of revenue
- Maintain 80%+ gross margins
- Sustain through any AI hype cycle reversal
Each of these is plausible individually. All three together is the bull case ($48 PT). At $52.58, the market is pricing above bull case.
Comparison with Simply Wall St Narrative
Simply Wall St (Feb 18) cited a $72.53 fair value using 8.42% discount rate. My PWFV is $22.70 using 10% WACC + properly recognizing SBC as a cash expense.
The gap reflects:
- WACC: 8.42% vs 10% (their lower hurdle = higher PV)
- SBC treatment: They use reported FCF; I subtract SBC from FCF (Kong/Damodaran discipline)
- Multiple: They likely apply premium SaaS multiple; I apply more conservative scenario-weighted multiples
Their approach matches the consensus narrative. Mine matches owner-economics discipline.
The Simply Wall St report itself flagged: "That 34.4% undervaluation narrative sits awkwardly beside JFrog's current P/S of 10.7x. The fair ratio is 6.3x, while peers sit around 5.3x and the broader US software group at 3.6x. For you, that gap means valuation risk if growth or sentiment wobble."
Sequoia "Services as Software" Lens
This is where I have to apply the AI disruption framework. Per the framework:
- Autopilots (outcome sellers) = AI competitors that replace human labor
- Copilots (tool sellers) = AI tools augmenting humans (where DevOps platforms compete)
- Infrastructure layer = Where binary management sits
JFrog's positioning: infrastructure layer for AI models + binaries.
The bull thesis: AI accelerates binary creation → JFrog becomes the system of record for AI models → moat compounds with every model uploaded.
The bear concern:
- Cloud-native registries (AWS ECR, Azure Container Registry, GCR) are "good enough" for many use cases at much lower cost
- GitHub Packages + GitHub Container Registry bundled with development workflows
- Hyperscalers offering native model registries (AWS SageMaker Model Registry, Azure ML Model Registry, Vertex AI Model Registry)
- Open-source alternatives (Hugging Face for AI models specifically — already winning developer mindshare)
My read: JFrog has real moat in enterprise multi-cloud, regulated industries, defense, finance — but the AI model registry battle is more contested than management suggests. Hugging Face is a better-funded, better-positioned competitor for AI specifically.
Peer Valuation
| Ticker | Spot | EV/Rev (NTM) | EV/EBITDA (NTM) | Rev Growth | SBC % rev |
|---|---|---|---|---|---|
| FROG | $52.58 | 9.6x | ~55x non-GAAP OI | +18% | 72% |
| GTLB (GitLab) | ~$50 | 6.5x | 25x | +25% | 38% |
| TEAM (Atlassian) | ~$200 | 6.0x | 22x | +20% | 26% |
| NOW (ServiceNow) | ~$1,050 | 14x | 35x | +22% | 16% |
| DDOG (Datadog) | ~$130 | 9x | 26x | +24% | 22% |
| MNDY (Monday.com) | ~$200 | 7x | 30x | +28% | 27% |
| SNOW (Snowflake) | ~$200 | 9x | 35x | +28% | 35% |
| ESTC (Elastic) | ~$110 | 5x | 18x | +18% | 22% |
FROG trades at premium multiples to most peers EXCEPT ServiceNow (which has scale, profitability, and dominant moat).
JFrog's SBC % at 72% is 2-3x peer average of 25-35%. This is structurally unattractive relative to peers.
Risk/Catalyst Map
Bull Catalysts
- Q1 2026 print May 7 — could beat the $146-148M revenue guide
- Cloud growth re-acceleration above 32% baseline
- Security ARR > 12% of total
- AI model registry win announcements
- M&A: JFrog itself could be acquired by Microsoft, Google, IBM
- SBC reduction commentary
Bear Catalysts
- Q1 print disappoints (Citi already at "neutral" stance)
- Cloud growth deceleration below 30%
- Net Dollar Retention drops below 117%
- Hugging Face dominance in AI model registry
- Continued SBC at 70%+ of revenue
- Customer concentration concerns
Operational
- ESOP shelf registration (signaling more dilution coming)
- 6% annual share count growth despite buybacks
- $100M buyback inadequate vs $384M annual SBC
Investment Conclusion
Rating: SELL / AVOID at $52.58
This is the harshest call I'd make given the math. Reasons:
- Owner FCF is structurally negative — SBC at 72% of revenue is a real ongoing cost
- Reverse DCF requires aggressive assumptions — 20%+ CAGR + SBC reduction + multiple expansion
- Spot above bull case PT — even my optimistic scenario only gets to $48
- Growth deceleration confirmed — 24% → 17.5% guide
- Heavy run into earnings — +17% in a week ahead of catalyst is asymmetric setup against you
- AI thesis contested — Hugging Face owns AI model mindshare
Sizing Discipline
- Avoid long entirely at $52.58
- Short candidates: too risky pre-catalyst with strong recent momentum
- Better to wait until post-print
- If post-print stock holds above $50, no entry
- If stock trades to $30-35 range post any disappointment, re-evaluate
Single-Leg Options View
- Sept 2026 $40 puts — captures Q1/Q2 disappointment + multiple compression. 0.20-0.30% of book if pre-print.
- Avoid Jan 2027 $60 calls — bull case PT is $48; calls struck above PT have negative expected value
- Better trade: wait for May 7 print, then evaluate. Pre-print options have IV crush risk.
What May 7 Print Needs to Show to Change My View
To support fair valuation at $52.58:
- Q1 revenue ≥$155M (above $148M high-end)
- FY2026 revenue guide raised to $640M+ (above $628M high-end)
- Cloud growth re-accelerating to >35%
- Net Dollar Retention >120%
- SBC commentary: meaningful reduction roadmap (this is the most important)
- Security ARR >12% of total
- M&A announcement (binary or AI model registry tuck-in)
Without ALL of these, the fundamentals don't support $52.58.
Honest Caveat
JFrog has a real product, real customers, real revenue growth, and real cash flow generation on a non-GAAP basis. The bull narrative isn't crazy.
My disagreement is about owner economics. When 72% of revenue is paid in stock to employees, the shareholders are not capturing the value being created. Until SBC discipline emerges, this is a great place to work but a tough place to invest.
The closest analog is Snowflake circa 2022 — incredible product, runway, growth — but at the wrong price. SNOW corrected ~70% from peak before re-rating. FROG could follow the same trajectory if the AI thesis cools.
Comparison to Recent Names (Past 24 Hours)
| Name | Rating | PWFV vs Spot | Owner FCF |
|---|---|---|---|
| CCOI | LONG (speculative) | +47% | Distressed but improving |
| DUOL | HOLD | ~Fair | Positive ($169M) |
| RBLX | HOLD-negative | -3% | ~Zero |
| Rakuten (JP src) | HOLD-negative | -5% | Negative |
| SCREEN | HOLD-negative | -31% | Positive |
| Kurita | LONG (moderate) | +19% | Positive |
| FROG | SELL/AVOID | -57% | Negative -$240M |
FROG is the least attractive name analyzed today on owner-economics basis.
This isn't to say the stock can't go higher near-term — it might, especially with a Q1 beat-and-raise. But fundamentally, the valuation requires assumptions that are aggressive given the SBC reality.
If you want AI infrastructure exposure with better economics: Kurita Water 6370 (water infrastructure for AI fabs/data centers) is a much cleaner LONG. If you want DevOps platform exposure: GitLab GTLB at 6.5x EV/Sales is cheaper than FROG at 9.6x with similar growth.
