Bushiroad (7803.T) — Valuation & Reverse DCF
Bushiroad is a founder-led, card-game-first IP house whose highest-margin engine (the trading-card platforms Cardfight!! Vanguard and Weiss Schwarz) is accelerating, while two drags are being removed at once: the low-margin wrestling business (NJPW) is being sold, and loss-making mobile games are being starved. The headline finding from the reverse DCF: at ¥248 the market is pricing owner cash flow to decline roughly 2% to 3% per year in perpetuity — for a business that just posted +68.5% first-half operating-profit growth. The cheapness is real; the catch is that the same things keeping it cheap (mobile-game risk, key-person dependence, illiquidity) are genuine. This is a thesis-driven, do-your-own-work small-cap, not a clean compounder.

The three moving parts
1. TCG platform — the crown jewel (own rails, paper margins)
Bushiroad owns its card systems outright — Cardfight!! Vanguard (its own IP, game plus characters) and the Weiss Schwarz / Blau crossover platform (into which it licenses anime IP such as Uma Musume, Detective Conan and Hololive). TCG is around 47% of revenue and the highest-margin unit; it drove the +68.5% H1 operating-profit jump, with the overseas ratio around 43%. The moat is the platform and the proven ability to plug hot IP into it quickly. Beyond Weiss Schwarz, Bushiroad also develops and operates dedicated licensed-IP titles — notably the hololive OFFICIAL CARD GAME, co-operated with the IP owner Cover Corp (5253), launched in Japan in September 2024 with an English edition in 2025. Caveat: much of the featured IP is licensed in, so a share of the economics is rented (royalty and renewal risk).
2. Mobile games — the value drag (being starved)
Small, flat-to-shrinking revenue with a documented history of title shutdowns; the FY2024 closures once collapsed group operating profit by 96.5%. Management is explicitly redirecting resources to TCG and console. The risk now: heavy advertising and promotional spend on new mobile titles is the principal reason for the conservative full-year guide. This is the single swing factor in the whole thesis.
3. NJPW (wrestling) — sold, margin-accretive
New Japan Pro-Wrestling sold to TV Asahi and CyberAgent for ¥3.60B (a one-time gain of ¥1.62B), closing June 30. It was a 2.7%-margin drag (FY25: ¥6.32B revenue producing ¥0.17B profit). Bought for ¥0.5B in 2012 — about a 7x return on cost. Stardom (women's wrestling) is retained. Selling the worst-margin business for cash is a quality-improving, finance-minded move.
Normalization — strip the one-time gain
The headline FY2026.6 net income of ¥5.52B cannot be used to value the business; ¥1.62B of it is the NJPW disposal gain. The clean figure is the original guidance of approximately ¥3.9B normalized net income — which itself reflects a deliberately conservative down-year guide set against a first half that grew operating profit 68.5%. On ¥34.0B market cap that is around 8.7x normalized earnings; ex-cash, the operating business trades near 8x normalized earnings for a roughly 20%-ROE, paper-margin TCG owner. SBC checked and immaterial (a Japanese small-cap with no large equity-comp program), so owner free cash flow approximates reported free cash flow here.
Discount rate (Damodaran, JPY)

| Cost of equity = WACC (near net cash) | approx 9.5% (sensitized 8.5% to 10.5%) |
Reverse DCF — the centerpiece
What is the market actually pricing in?
Taking owner free cash flow of approximately ¥3.4B (normalized), net cash of approximately ¥5B, and WACC of 9.5%, the implied enterprise value at ¥248 is about ¥29B. A zero-growth perpetuity would be worth FCF / WACC = ¥3.4B / 0.095 = approximately ¥35.8B — well above the ¥29B the market assigns.
Implied perpetual growth: about −2% to −3% per year
In other words, at today's price the market is pricing Bushiroad's owner cash flow to shrink in perpetuity. This conclusion is robust across the WACC range (implied growth stays negative, roughly −1% at 10.5% WACC to about −3.5% at 8.5% WACC) and becomes more negative on a pro-forma basis once the ¥3.6B NJPW proceeds are added to cash.
That is a strong statement for a company whose largest, highest-margin segment just grew operating profit 68.5% and operates in a structurally growing global TCG market. The market is fully capitalizing the conservative down-guide — and then some — as a permanent condition.
Reading it fairly: the market is not irrational here. It is pricing the real risk that (a) new mobile titles destroy value again, (b) the TCG cycle is peaking (management itself flagged softening signs from summer 2025), and (c) reported revenue optically shrinks once NJPW deconsolidates. The reverse DCF does not prove the stock is cheap — it shows precisely what you must disbelieve to own it: that the franchise enters permanent decline.
Forward DCF — scenarios
Two-stage DCF on normalized owner FCF (base approximately ¥3.4B), WACC 9.5%, plus net cash of approximately ¥5B. Probabilities reflect the genuine bear weight from the mobile-game and key-person risks.
| Scenario | Prob. | FCF growth path | Implied FV / share | vs ¥248 |
|---|---|---|---|---|
| Bear | 30% | −2% perpetual (mobile bleeds, TCG peaks, NJPW gone) | approx ¥248 | flat |
| Base | 45% | +3% near-term fading to 2% terminal | approx ¥386 | +56% |
| Bull | 25% | +8% near-term fading to 3% terminal (TCG overseas + disciplined mobile + buyback) | approx ¥522 | +110% |
Probability-weighted DCF fair value: approximately ¥379 per share (about +53%). A more conservative multiple-based cross-check (8x to 14x normalized earnings) yields approximately ¥314 (about +27%). Blending the two methods gives a working PWFV of approximately ¥350, around +40% upside — which lines up with the street target of approximately ¥356 and the broadly "undervalued" analyst read.
Peer cross-check
Versus the owned-IP collectibles set, Bushiroad is the cheapest TCG name on normalized earnings, with the highest near-term operating-profit growth and a freshly de-risked balance sheet — but the lowest quality-of-IP within the own-IP tier (own-platform, mixed/licensed IP).
| Company | P/E | ROE | IP model |
|---|---|---|---|
| Games Workshop (GAW.L) | 31.6x | 68% | Owns + makes |
| Konami (9766.T) | 33.7x | 17% | Owns (Yu-Gi-Oh) |
| Bandai Namco (7832.T) | 17.8x | 17% | Mixed (owns Gundam) |
| Bushiroad (7803.T) | approx 8x norm. | approx 20% | Owns platform, mixed IP |
Risks
- Mobile-game wildcard (primary). New title launches carry heavy marketing cost and a track record of value destruction. If they flop, the down-guide becomes real and the bear case is correct.
- TCG cycle. A large share of value rides on the card boom; management flagged softening signs from summer 2025. Own-platform, but characters are largely licensed (royalty / renewal risk).
- Founder / key-person. Takaaki Kidani is a hands-on promoter-creator with a mixed record — built beloved franchises but also oversaw Broccoli's post-listing deterioration and serial mobile shutdowns. The thesis is partly an underwrite of which version of the founder is driving.
- Liquidity & disclosure. TSE Growth, approximately ¥34B cap, illiquid; the recent switch to single-segment reporting reduces visibility as the mix shifts. Sizing-constrained.
- Optical revenue shrinkage. NJPW deconsolidation (June 30) lowers reported revenue, which screens may misread as decline.
Verdict — Speculative Long, PWFV approx ¥350 (about +40%)
You are buying a high-margin, growing, own-platform TCG business at around 8x normalized earnings and 1.2x book, with a roughly 20% ROE, a healthy and deleveraging balance sheet, an active buyback, and incoming sale cash — while the market, per the reverse DCF, prices it for permanent 2% to 3% annual decline. That gap is the opportunity. The catch is that the discount is not unearned: the mobile-game risk, the founder's mixed record, and the Growth-board illiquidity are real, and the bear case (the market is right) carries a genuine 30% weight. Net: a thesis-driven, sizing-constrained buy where the single variable that decides the outcome is capital discipline on mobile. Watch the next quarter for whether new-title marketing spend converts to revenue.
Data caveats
Price ¥248 (May 27 close). FY2025.6 figures are full-year audited; FY2026.6 are guidance plus H1 actuals. Net cash of approximately ¥5B is an estimate (exact cash line not isolated this session) used in the EV and DCF; the reverse-DCF conclusion (market prices decline) holds across the plausible net-cash range. Owner FCF base (approximately ¥3.4B) is derived from normalized operating profit at an approximately 31% tax rate, with D&A assumed to roughly offset capex and SBC immaterial. Scenario fair values are model outputs highly sensitive to terminal-growth and WACC assumptions; dispersion is wide and the figures are not point predictions. Unit-level operating margins are inferred (the company now reports a single segment).
