Fair-Value Report — Seres Group Co., Ltd. - H Shares (9927.HK)
Insider signal
Buyer: Chongqing Xiaokang Holding Co., Ltd. (重慶小康控股有限公司) and concert parties — the controlling-shareholder vehicle of chairman/actual controller Zhang Xinghai (張兴海), who personally owns 50% of the holding company. This is the company's founder and largest shareholder, not a nominee or fund.
What happened: On 2026-09-22 the holding company bought 1,000,000 H-shares of 9927.HK on-market at an average price of HK$35.1343 (≈HK$35.13M), taking its H-share long position from 0.00% to a disclosable threshold. A further tranche reported through 2026-09-24 brought the cumulative H-share stake to 0.92% on cumulative consideration of ≈HK$39.79M. Reason code 1101 (on-exchange purchase) — genuine open-market accumulation, not a placing, pledge, or scheme.
Same program, A-share leg: Over a wider window, 2026-07-15 to 2026-09-24, the same controlling shareholder and its concert parties bought 4.1501M A-shares on the Shanghai exchange via centralized bidding, lifting the combined stake from 26.79% to 27.03%. The H-share buy is a small, opportunistic extension of that same ongoing program — executed via the cheaper H-share tranche (see A-H discount below).
Timing/catalyst: The buying coincided with an announced restructuring of the Huawei/HIMA (鸿蒙智行) cooperation model — Seres taking direct control of AITO product definition, design, branding, retail channel and after-sales service, with Huawei's terminal unit stepping back into an "enablement" role rather than co-managing the brand. This is a genuine strategic inflection for the company, not routine housekeeping.
Honest caveat on signal strength: in absolute terms the H-share purchase is small (≈HK$35–40M against a ~HK$91B combined-class market cap) — a symbolic/opportunistic top-up alongside a much larger A-share program, not a large fresh commitment of capital. Treat it as confirmatory, not as the primary reason to own the stock.

Business
Seres (formerly Sokon/Xiaokang Group, founded 1986) is a China-based NEV manufacturer, best known for the AITO brand of premium SUVs (M5/M6/M7/M8/M9) co-developed with Huawei under the HarmonyOS Intelligent Mobility Alliance (HIMA/鸿蒙智行). FY2025 was a record year: revenue CNY165.05B (+13.7% YoY), net profit CNY5.96B (+0.2% YoY), full-year NEV sales ~1.1M+ units led by the M9 (#1 in the CNY500k+ SUV segment). The AITO relationship has historically been the core value driver — Huawei supplies ADAS/cockpit software and co-manages branding/retail, Seres manufactures.
2026 has been materially rougher: H1 2026 revenue CNY57.49B (-7.9% YoY) with a swing to a net loss of CNY1.72B (vs +CNY2.94B in H1 2025), management citing (a) rising input costs — memory chips, industrial metals, lithium carbonate, and (b) a book-value write-down on model-specific tooling/inventory tied to the M-series generational transition. Q1 2026 alone was still profitable (CNY754M), so the loss is concentrated in Q2 2026 — consistent with a chunky, partly one-off impairment rather than a pure cash operating bleed. Monthly deliveries have deteriorated sharply and faster than the P&L shows: August 2026 NEV sales were 24,000 units (-44.0% YoY; AITO -49.7% YoY), cumulative Jan–Aug -12.6% YoY. Trailing-twelve-month (TTM) revenue is still growing (+12.4% YoY to ≈CNY160B / HK$187B) and TTM net income remains marginally positive (≈CNY1.3–1.5B, margin <1%, down ~80% YoY) — but the TTM figures lag the much worse real-time trend, and H2 2026 results (due ~Q1 2027) are the key thing to watch.
Balance sheet: cash reserves of CNY73.15B at H1 2026 (company states the balance-sheet structure remains "robust"); book value per share CNY17.02 (total equity ≈CNY29.65B), implying FY2025 ROE of ~20% — strong by auto-sector standards, though 2026 will compress it. Precise interest-bearing debt was not separately disclosed in the sources reviewed; net debt is treated as modestly net-cash below and flagged as an estimate.
Valuation — three-scenario DCF (RMB)
Classified as a profitable operating company in a volatile transition (not pre-commercial, not a shell) — TTM profitable with a real, scaled, cash-generative business, but near-term visibility is unusually poor given the Huawei-relationship reset and the accelerating volume decline. Scenario weights are skewed away from the 25/50/25 default to 20% bull / 40% base / 40% bear to reflect that binary-catalyst uncertainty. WACC built bottom-up: China 10Y risk-free 1.6%, Damodaran auto-industry beta 1.24 unlevered (relevered ≈1.25 given Seres' low leverage), mature-market ERP 4.17% + China country risk premium 1.01% (total ERP 5.18%), pre-tax cost of debt 3.8%, 15% PRC high-tech-enterprise tax rate, 8% target debt weight → WACC 7.46%.
| Scenario | Weight | Narrative | FV/share (CNY) |
|---|---|---|---|
| Bull | 20% | M9 Ultimate + M6/M7 refresh restore volume growth; post-restructuring economics improve as Seres captures more of the value chain; op. margin recovers to 8% | 129.26 |
| Base | 40% | Volumes stabilize after 1–2 more soft quarters; op. margin normalizes to ~5% (below 2025 peak); modest low-single-digit long-run growth | 56.28 |
| Bear | 40% | Huawei-channel disruption persists, further share loss to Xiaomi/Li Auto/domestic rivals; margins stay near breakeven for years | 10.47 |
| Probability-weighted FV | 100% | — | 52.55 |
Against the A-share price (CNY44.87, same currency as the model), the probability-weighted DCF implies ≈+17% upside. Converting to HKD at spot FX (1 CNY ≈ 1.17 HKD) gives an intrinsic-equivalent value of ≈HK$61.5 — but the H-share tranche has traded at a persistent ~37% structural discount to the A-share (small free float, only listed since Nov-2025, different investor base, capital-account segmentation typical of A+H pairs). Absent a specific catalyst to close that gap, the more realistic H-share fair value applies the same proportional upside to the current H-share price rather than assuming full A-H convergence: ≈HK$38–39, i.e. also ≈+17% upside from HK$32.86. Full convergence of the A-H discount (not the base case here) would be a separate, unquantified source of additional upside optionality for H-share holders specifically.
Reverse DCF — what the price implies
| Solve for | Implied value | Read |
|---|---|---|
| Flat 10-yr revenue growth (at base-case margins) | -0.95%/yr | Market is pricing in mild, multi-year stagnation — not a recovery, but also not the full bear-case collapse |
| Flat operating margin (at base-case growth path) | 3.58% | Below the FY2025 realized margin (~4.5–5% estimated), consistent with the market already discounting a permanently thinner-margin business |
This is a useful sanity check: the market isn't irrationally pessimistic (it isn't pricing outright decline into perpetuity), but it also isn't giving Seres credit for any recovery in the Huawei-transition thesis. A DCF fair value modestly above the current price is therefore a reasonable, non-aggressive conclusion.
Peer relative valuation
Peer set: major HK-listed Chinese NEV/auto makers, all data same-source (stockanalysis.com) and same-day (2026-09-28) for comparability. EV ≈ market cap for all names (net-cash balance sheets).
| Ticker | Mkt Cap (HK$) | Rev TTM (HK$) | EV/Rev | P/E (ttm) | Rev gr% (ttm) | Net margin |
|---|---|---|---|---|---|---|
| 9927 Seres (target) | 91.5B | 187.4B | 0.49x | ~61x | +12.4% | +0.8% |
| 2015 Li Auto | 88.5B | 121.0B | 0.73x | n/a (loss) | -26.9% | -4.4% |
| 9868 XPeng | 76.0B | 87.1B | 0.87x | n/a (loss) | +25.1% | -4.1% |
| 9866 NIO | 70.3B | 154.1B | 0.46x | n/a (loss) | +64.4% | -4.2% |
| 1211 BYD | 820.0B | 897.6B | 0.91x | 21.0x | -8.2% | +3.8% |
| Median (ex-target) | — | — | 0.80x | 21.0x | -1.6% | -4.2% |
Seres trades at a ≈39% discount to peer median EV/Revenue (0.49x vs 0.80x). That discount is only partly justified by fundamentals: Seres' TTM revenue growth (+12.4%) beats two of four peers, and it is one of only two names in the set (with BYD) that is TTM net-income positive — yet it prices cheaper than all of them bar NIO. The residual gap is best explained by (a) the accelerating real-time volume collapse not yet visible in TTM figures, (b) H-share-specific illiquidity/A-H discount, and (c) genuine uncertainty about post-Huawei-restructuring economics. Not a screaming statistical anomaly, but a name priced for continued deterioration that the TTM numbers don't yet fully show.
Conclusion — Speculative Buy
The insider signal is real (founder/chairman-controlled entity, genuine on-market purchase, tied to a substantive strategic catalyst) but small and largely symbolic in isolation — its main value here is confirmatory, riding alongside a bigger A-share buying program. The valuation case stands on its own: DCF and peer-relative both point to modest (~15–20%) undervaluation even under a scenario mix skewed 40% to a bear case, the reverse DCF shows the market is not pricing in a rosy outcome, and the balance sheet (net cash, ~20% FY2025 ROE) provides real downside cushion. The offsetting risk — an accelerating, not-yet-fully-reported volume collapse (August deliveries down ~44% YoY) — is serious enough to keep this speculative rather than a straight Buy: H2 2026 results and September/October delivery data will be the first hard evidence of whether the Huawei-transition thesis is working or whether the brand is losing structural share.
Key risks
- Volume collapse acceleration: August 2026 AITO deliveries -49.7% YoY; if this pace continues into H2, base-case assumptions (margin recovery to ~5%) will not hold and fair value converges toward the bear case (CNY10.47/share).
- Huawei-transition execution risk: Seres taking over product definition/branding/retail from HIMA is unproven — brand equity built jointly with Huawei may not transfer cleanly to Seres-led management.
- Small, thin signal: the H-share buy is ~HK$35–40M against a >HK$90B combined market cap; it should not be read as a strong high-conviction bet by the controlling family.
- A-H discount may persist or widen: H-shares are thinly floated (108.6M of 1.74B shares,
only listed since Nov-2025) and could remain structurally discounted for years, capping realized returns for H-holders even if the underlying business re-rates on the A-share line. - Input cost inflation: memory chips, industrial metals, and lithium carbonate cost increases cited as a direct H1 2026 margin driver; further commodity/component inflation is a sector-wide risk.
- Balance sheet data gap: precise interest-bearing debt was not separately verified from the sources reviewed; net debt in the DCF is an estimated net-cash position, flagged as an approximation.
- Intense competitive pricing environment: even BYD, the most profitable peer, saw H1 2026 net income -20.5% YoY and margin compression — sector-wide price war remains a headwind for all names in the peer set.
