Business Overview
Zhongsheng Group is China's largest luxury automobile dealership group by revenue, operating approximately 425 4S dealerships (sales, service, spares, surveys) across China. It became the world's largest Mercedes-Benz dealer following its ~USD 1.3 B acquisition of Zung Fu China in 2022. Brand portfolio:
- Luxury core: Mercedes-Benz (largest single brand, ~40–45% of volume), Lexus, BMW, Audi, Porsche, Jaguar Land Rover, Volvo
- Mid-premium: Toyota, Honda, Nissan
- Emerging: AITO (Huawei-backed EV), Xpeng
Revenue is roughly split between new-vehicle sales (~80%), after-sales services (~15%), and finance/insurance commissions (~5%). After-sales is the margin backbone — far more resilient than new car sales. The business model is asset-intensive: large inventory, dealer real estate, and OEM deposits constitute the bulk of the balance sheet.
FY2025 reported in brief (released 26 March 2026): Revenue declined to CNY 164.4 B from CNY 168.1 B in FY2024; operating income collapsed to CNY 343 M (FY2024: CNY 5,416 M) as new-vehicle gross margins turned negative — the company booked a gross loss on new-car and pre-owned car sales. A CNY 1,261 M goodwill impairment compounded the hit. The accounting net loss of CNY 1,673 M masks that operating cash flow remained strongly positive at CNY 9,405 M; accounting losses are dominated by non-cash charges (D&A, goodwill impairment, negative vehicle margin revaluations).

Valuation
Method: Asset (P/B + P/TBV) Anchored + Normalized Earnings Recovery
A pure FCF-DCF is not used given the loss-making environment and near-zero current operating income. Instead the valuation anchors on: (1) book and tangible-book multiples (P/B and P/TBV appropriate for an asset-intensive dealership) versus sector history and peers; (2) normalized earnings recovery — analyst consensus projects a return to profitability in FY2026 (~CNY 2 B net income) and further recovery in FY2027; and (3) cash flow multiples (P/OCF and EV/EBITDA) which better reflect economic reality than the accounting P&L.
Reverse read (what the current price implies): At HKD 6.22, the market prices Zhongsheng at 0.31× reported book and 0.55× tangible book. For a company generating CNY 9.4 B of operating cash flow annually, that prices in near-permanent impairment of ~70% of book value. The implied "normalised" P/OCF is just 1.46×. This appears excessively pessimistic unless China luxury auto demand collapses permanently — which even in a bearish scenario is too severe a write-down for a business with 425 dealerships, CNY 15.5 B cash, and a diversified brand mix that now includes EV-adjacent brands (AITO, Xpeng).
Three-Scenario Analysis
| Scenario | Key Assumption | Basis Multiple | Fair Value (HKD) | Weight |
|---|---|---|---|---|
| Bull | FY2027 net profit returns to ~CNY 3 B (60% of FY2024); P/E 8× on FY2027 EPS of CNY 1.27 = HKD 1.36 | 8× fwd P/E | HKD 10.50 | 25% |
| Base | FY2026 return to breakeven / small profit per analyst consensus (~CNY 2 B); P/E 8× on HKD 0.90 EPS; slight re-rating as losses end | 8× fwd P/E | HKD 7.20 | 50% |
| Bear | Losses persist through FY2027; further goodwill impairments; net debt rises; market prices at P/TBV 0.40× (stress scenario) | 0.40× P/TBV | HKD 4.55 | 25% |
| Probability-Weighted Fair Value | HKD 7.37 | 100% | ||
Rounded fair value: HKD 7.4 — representing ~20% upside from the May 27 signal price of HKD 6.15, and ~19% upside from the June 2 close of HKD 6.22.

Sources: stockanalysis.com, verified June 3 2026. All three HK auto dealers are loss-making at the accounting level; sector-wide derating. Zhongsheng trades at broadly the same forward earnings multiple as Yongda despite significantly stronger cash generation and scale.
Valuation observation: Zhongsheng's P/OCF of 1.46× is the most striking metric in the peer group. Even Yongda, which is a far smaller business suffering deeper losses (-CNY 5.6 B), trades at a broadly similar forward P/E. Zhongsheng's superior scale, cash generation, and brand concentration in Mercedes-Benz (which retains higher aspirational value than mass-luxury peers) justify a moderate premium once the P&L normalises.
Conclusion & Rating
Rating: SPECULATIVE BUY | Fair Value HKD 7.4 | Price HKD 6.15 (27 May 2026)
The case for Zhongsheng rests on five pillars:
- Deep value in cash-flow terms. Operating cash flow of CNY 9.4 B against a market cap of HKD 14.9 B (≈CNY 13.9 B) means the stock trades at roughly 1.5× OCF. Accounting losses are non-cash dominated (goodwill write-down, negative inventory revaluation) and do not represent cash destruction.
- Floor from assets. Tangible book of HKD 11.4/share vs. market price of HKD 6.22 — a 45% discount to tangible assets. For an operator with 425 physical dealerships, after-sales infrastructure, and real estate exposure, this implies excessive pessimism.
- Conviction smart-money accumulation. Pzena, a NYSE-listed deep-value specialist with a demonstrated track record of buying unloved equities during trough cycles, has built a 6.89% stake (22% of float) at these prices. The HKD 139 M tranche on May 27 is significant conviction.
- Dividend yield of 10.6%. If maintained, the yield alone compensates substantially for waiting. Note: the dividend was paid from cash reserves rather than earnings — sustainability should be monitored.
- Analyst consensus HKD 12.81 (14 Buys, 2 Sells). The sell-side sees a more bullish path, but this report uses a more conservative blended fair value.
Why SPECULATIVE rather than Moderate Buy: The secular EV-disruption headwind is real. Mercedes-Benz China was down 27% YoY in Q1 2026. This is not purely macro-cyclical — Chinese luxury consumers are increasingly choosing homegrown EV brands. Recovery to pre-2024 earnings requires either a major EV-adoption plateau (possible but uncertain) or a successful pivot by Zhongsheng toward EV brands (early stages with AITO/Xpeng). Net debt of CNY 19 B at trough earnings also warrants caution. The word "speculative" is earned.
Key Risks
- Secular EV substitution. Chinese domestic EV luxury brands (NIO, Li Auto, BYD Yangwang, AITO) continue taking share from ICE luxury; Mercedes China volume may not recover to peak.
- Sustained gross-margin compression. New-vehicle gross loss may persist as OEMs resist price floor discipline in an oversupplied market.
- Leverage risk. Net debt of CNY 19 B vs. depressed EBITDA of CNY 2.2 B = 8.8× leverage. If FCF turns negative, covenant pressure could force equity raises at distressed prices.
- Further goodwill impairment. CNY ~18 B of intangibles remain on the balance sheet (Zung Fu China acquisition). Additional write-downs are possible if Mercedes-Benz-related terminal value assumptions weaken.
- Dividend sustainability. The 10.6% yield is funded from cash reserves, not profits. A cut would likely reprice the stock down significantly.
- Macro / geopolitical. US-China trade tension and weak China consumer confidence could delay the recovery timeline.
- Data caveat — Pzena motive opacity. Pzena files as a substantial shareholder; holdings may be across multiple client accounts rather than a single fund mandate. If they are building a passive index-like position rather than an active conviction bet, the signal has lower weight. Based on their known deep-value philosophy, active accumulation is the most likely interpretation.
