Fair-Value Report — Digital China Holdings (0861.HK)
Verdict and rating caps
- Mechanical flags (market_context): none fired.
- Rating rules that bind: (1) base-case FV is not ≥ +25% above the live price; (2) earnings are too thin to support a re-rating on current numbers; (3) litigation overhang is still open (first-instance judgments received, outcomes and appeals not fully disclosed).
- Not triggered: no placing or subscription seen in the ±30-day window (September 2026 share count unchanged at 1,673,607,386); no going-concern language found in the sources I could reach (see data limits).
Insider signal
- Buyer: 神州数码集团股份有限公司 (Digital China Group Co., Ltd., SZ:000034), the listed parent group. It is connected to the company through Chairman Guo Wei, who is also the parent's controlling shareholder.
- Reason code: 1101/1103 (purchase), event date 7 Oct 2026. Change in holding: +5.73 percentage points to 22.1% (per the screen).
- Size: about HK$216m at HK$2.255 per share, roughly 6.4% of market cap, or about 95.9m shares.
- Context: on 27 Aug 2026 the parent's board approved an increase of up to RMB300m (≈ HK$350m at about 1.167 HKD/CNY) within 12 months. The combined holding of the parent and Mr Guo is capped at 29.90%. It held 15.26% before the plan. A prior RMB428m plan was announced in May 2025.
- Read: a genuine, planned open-market or agreement accumulation by a strategic holder, not a placing, pledge or intra-group shuffle. Be aware that it is a strategic consolidation, not a financial-return bet; the buyer's motive is control and strategic alignment. If this purchase falls under the RMB300m plan, roughly RMB115m (≈ HK$134m) of capacity may remain (my estimate, not confirmed).
- Price paid vs live: HK$2.255 paid vs HK$2.025 live, so the stock is 10% below the buyer's price. The buyer is under water; this is below the 20% PRICE_MOVED threshold.
Verified snapshot
- Price caveat: the HK$2.025 live price comes from the scanner's market-data feed. Several web sources show different, undated quotes (HK$1.7 on 3 Sep, HK$1.83, HK$2.64), so I could not independently confirm 14 Oct from a second source. Market cap at HK$2.025 matches the share count. All upside figures use HK$2.025.
- FX: 1 CNY ≈ 1.167 HKD (21 Aug 2026 rate; used for conversions). Financials are reported in RMB.
- FY2025: revenue RMB21.0bn (+26%); attributable profit ≈ RMB31m (EPS RMB0.021), a turnaround from a RMB254m loss; gross profit RMB2.49bn; final dividend HK$0.036 (ex-date 6 Jul 2026). One source reported the adjusted profit inconsistently, so I do not rely on it.
- H1 2026: revenue RMB6.64bn (−16%); gross profit RMB993m; gross margin +1.82 pts; loss attributable RMB52m after a RMB304m litigation provision at the subsidiary 神州信息 (DCITS, 000555). Backlog RMB7.48bn; new signings RMB6.43bn.
Business
IT services and supply-chain operator formerly tied to the Digital China brand. Three segments in H1 2026 (RMB): data-intelligence services ≈ 1.19bn revenue (−52%; AI-service revenue +52% to ≈ 394m); integrated supply chain ≈ 1.16bn (+45%, segment profit −37% on new-customer ramp-up); fintech and other ≈ 4.29bn (−7%), which carried a segment loss of about RMB359m, mainly the litigation provisions. The company is pivoting toward AI-service and supply-chain logistics (a RMB700m+ logistics contract was announced).
Valuation
Method: loss-making / thin-earnings operating group with a large asset base, so the anchor is a discount-to-book (P/B) scenario set, not an FCF-DCF. Book value is not a floor: ROE is ≈ 0.5% (FY2025) and negative in H1 2026, and DCITS-related litigation is unresolved. At HK$2.025 the stock trades at ≈ 0.50× book (aggregator data show 0.65× at an earlier, higher price).
| Scenario | Assumption | P/B | FV (HK$) | vs live | Weight |
|---|---|---|---|---|---|
| Bull | Litigation capped, AI/supply-chain mix lifts earnings, discount narrows to mid-cycle IT-services levels | 0.65× | 2.65 | +31% | 25% |
| Base | Earnings stay near breakeven; parent buying provides support; discount roughly holds | 0.53× | 2.15 | +6% | 50% |
| Bear | Further adverse judgments (litigation provisions) and weak earnings, discount widens as the parent stops buying | 0.35× | 1.43 | −29% | 25% |
| Weighted | 2.10 | +4% | 100% | ||
Reverse read: at 0.50× book the market is pricing the group as roughly a zero-return asset base: it already discounts about half of reported equity. That is consistent with ROE near zero, goodwill and receivable quality uncertainty at DCITS, and the litigation tail. For the stock to re-rate to ≥ +25% (≈ HK$2.53, 0.62× book) the market needs evidence that ROE can sustain above ~3–4%, which the last two prints do not show.
Peers: I could not verify a named-peer multiple set from primary sources. An aggregator reports sector averages of ≈ 4.0–4.6× P/B and ≈ 22–29× P/E for the broad "digital solutions" group, which is not a like-for-like comparator (it is dominated by high-ROE software names) and is not used to set the target. No peer-based upside is claimed. The relevant like-for-like comparators (distribution/system-integration names with low margins) typically trade at book or below; this was not independently verified here.
Conclusion
Signal real, price roughly fair for the earnings. A strategic parent paying HK$2.255 is a supportive technical (and a possible floor-of-sorts through a 29.9% cap that leaves headroom), but the operating record does not justify a Buy at HK$2.025. There is potential for a mild positive skew if litigation is resolved at or below the provisioned RMB304m, but the bear case (−29%) is as large as the bull case (+31%). Hold.
Catalyst calendar
- Ongoing through ~Aug 2027: parent's 12-month buying programme (up to RMB300m, combined holding cap 29.90%); watch HKEX Disclosure-of-Interests filings.
- Next results: FY2026 annual results expected ~late March 2027 (inferred from the prior year's cycle; not confirmed). The next-print test therefore does not apply within 60 days.
- Litigation: appeals or enforcement on the DCITS first-instance judgments (Beijing 3rd Intermediate Court claim of RMB366m; Xuchang case RMB100m): dates not disclosed.
Key risks
- Further litigation provisions or adverse appeals at DCITS beyond the RMB304m booked.
- Thin liquidity (≈ HK$2.7m/day turnover): wide spreads, hard to size.
- Falling revenue (−16% H1) and negative operating cash flow signs; thin gross-margin distribution model.
- Strategic parent may stop buying or pursue an unfavourable corporate action (privatisation at a low price, injection).
- Possible HKD/RMB drift: financials in RMB, shares in HKD.
What would prove us wrong
- (Too bearish) Litigation closes at or below the provisions and FY2026 attributable profit exceeds ~RMB150m with a rising ROE: the stock would warrant a ≥ 0.65× P/B.
- (Too bullish) Further provisions or appeals go against DCITS, or the next results show a second consecutive loss or negative operating cash flow: the bear case would apply.
- The parent files a general offer or buys beyond the 29.9% cap with a price premium: reprice as a special situation.
Sources and data limits
- HKEX FF301 monthly return (30 Sep 2026): 1,673,607,386 shares, no issuance.
- Digital China Group plan: STCN, Beijing News (May 2025 plan RMB428m), Sina/Sohu summaries of the 27 Aug 2026 board resolution (RMB300m).
- Results: Tencent News, 10jqka, Sina (FY2025 and H1 2026 coverage); litigation: Sina Finance / DCITS announcements (Jun–Jul 2026).
- FX: ValutaFX (21 Aug 2026). Peer averages: Lixinger summary (aggregator).
- Limits: I could not query the HKEX title search directly, so the 120-day filings sweep relied on secondary summaries; I found no going-concern, disclaimer or suspension language but could not confirm from the filings themselves. Net cash/debt and operating cash flow were not verified. The live price rests on a single feed.
