Fair-Value Report — Amuse Group Holding (8545.HK)
Rating caps & flags
Insider signal
- Buyer: Li Wai Keung, Chairman and Executive Director, holding through his wholly owned Infinite Force Holdings Ltd (buyer type: individual / insider holding company, so the buyer is a genuine insider).
- Reason code 1101 (on-exchange purchase), event date 2026-10-07. About 12.2M shares at about HK$0.0378 = HK$456,624, taking his stake from 18.51% (interim report, 30 Sep 2025: 220,640,000 shares) to 20.18% (+1.02 pts).
- Context: real money from a controlling-type holder, but tiny in size (about 1% of market cap, about 19 days of average turnover). It is a mild positive, not a conviction signal. It is open-market accumulation, not a placing, pledge or scheme award, so the signal passes the Step 1 gate.
- The live price (HK$0.036) is 4.8% below his purchase price, so the signal price is not stale.

Price source: the scanner's market-context feed (close of 2026-10-08). Re-checks on AAStocks and Yahoo failed in this run (page not rendering / HTTP 503), so the price is not independently confirmed. Balance-sheet and P&L figures are from the FY2026 audited annual results announcement (HKEX, 30 Jun 2026, auditor CCTH CPA Limited) and the 2025/26 interim report. Reporting currency is HKD, so no FX adjustment.

Business
Amuse designs, distributes and retails collectible figures (ACG characters). It has three segments: ODM toys for licensors (HK$59.6M external revenue), distribution of imported toys and related products (HK$67.7M) and own-licensed toys (HK$30.4M), plus HK$3.5M of agency services. Japan is 39% of revenue, mainland China 24% and the US 15%. Gross margin is about 18%. The operating segments lose money (segment result −HK$9.2M); the group's small headline loss is held down by HK$12M of interest and other income on a large cash pile. It is effectively a cash box with a loss-making toy business attached.
Red-flag checks (Step 1b)
- Filings sweep (HKEX titleSearch, Jan–Oct 2026): only monthly returns, a May-2026 discloseable transaction, the FY results (30 Jun, board meeting moved from 26 to 30 Jun, a 4-day slip with no explanation beyond "additional time"), annual report (23 Jul), AGM circular and poll results (14 Aug). No profit alert, suspension, winding-up or placing. The FY results text carries no going-concern or material-uncertainty language, and the results are audited. Latest financials are 6 months old, so the data-recency guardrail does not bind.
- Dilution / supply: share count is flat at 1,192,307,692. The AGM renewed the usual 20% general mandate, so a discounted placing is a standing risk. The company was listed in 2018, so there is no IPO lock-up. I did not check CCASS deposits.
- Treasury risk: in May 2026 the company bought US$1.2M of credit-linked notes (two US$0.6M notes issued by Bank of Singapore, maturing 9 May 2029; redemption can fall to zero on a credit event). FVTPL assets rose from HK$5.1M to HK$48.6M in the year while cash fell by HK$10M. Part of the "cash" has moved into marked-to-market products, and I could not break down the HK$48.6M further.
- Earnings quality: FY2026 includes goodwill impairment (2.8M) and an associate impairment (2.0M). Treasury income of HK$12M is not operating earnings. Operations are loss-making, so I put no value on earnings power.
- Major news: a web search found no M&A or large licensing deal in the last 60 days. Coverage is thin (micro-cap), so absence of news is weak evidence.
Valuation
Method: asset-based (net liquid assets plus haircut working capital) with a discount for governance and illiquidity. This is the right tool for a loss-making operating business sitting on cash. No DCF, since the operations earn no free cash flow. Book value is not treated as a floor, because ROE is negative.
| Net asset bridge (31 Mar 2026) | HK$ M | HK$/share |
|---|---|---|
| Cash and bank deposits | 113.4 | 0.095 |
| Financial assets at FVTPL (incl. credit-linked notes) | 48.6 | 0.041 |
| Less: trade and other payables 14.0, contract liabilities 34.5, leases 6.3, tax 1.3 | −56.1 | −0.047 |
| Net liquid assets | 105.9 | 0.089 |
| Receivables 15.2 + deposits/prepayments 46.9 + inventory 2.0 (not liquid; 50% credit in base) | 64.1 | 0.054 |
| Fixed assets, goodwill, associates (no value assigned) | 23.4 | 0.020 |
| Total equity | 193.3 | 0.162 |
| Scenario | Logic | FV / share | vs HK$0.036 |
|---|---|---|---|
| Bull | Market re-rates to 0.70x book (still below book, given negative ROE); no asset erosion | HK$0.113 | +215% |
| Base | (Net liquid 105.9 + 50% × 64.1 = HK$138M) × 0.60 for governance/illiquidity/loss-making ops = HK$82.8M | HK$0.069 | +93% |
| Bear | Credit-linked notes lose value (about HK$9M), receivables/prepayments impaired, ongoing operating losses, discount widens to about 0.17x book (about HK$33M) | HK$0.028 | −22% |
The bear case is below the 52-week low of about HK$0.033. It is not an extreme case: the stock has already spent a year at 0.2x book without a rerating, and a placing at a discount under the 20% mandate would also hurt.
Reverse read: at HK$0.036 the market cap (HK$42.9M) is 41% of net liquid assets (HK$105.9M). The market is assigning the toy business, all prepayments and receivables, and the trust in management a combined value of about −HK$63M. That is pricing in either heavy cash leakage (loss-making operations, further treasury losses, related-party or placing dilution) or a belief that the cash will never reach minority holders. Operating segments are losing HK$9M a year, so burn alone is small relative to the cash; the discount is mainly a trust discount.
Peer table: I could not verify P/B or net-cash multiples for comparable HK toy / collectible / GEM net-cash companies within this run, and I do not present a peer median I cannot source. Reference points from the company's own data instead:
| Metric | Value |
|---|---|
| Price / book | 0.22x |
| Price / net liquid assets | 0.41x |
| Cash + FVTPL / market cap | 3.8x |
| Return on equity (FY2026) | −0.6% |
| Dividend yield | 0% |
Conclusion
The signal is genuine but small. The price is the issue: HK$0.036 sits far below the asset value, and the base case clears the +25% bar easily. But there is no named catalyst that forces the discount to close, the cash is partly in credit-linked notes, the operating business loses money, and one cannot trade the stock in size. Speculative Buy, small position only, sized as an option that may never pay. The rating comes from the base case at the live price (not from the buyer), and the TOKEN_BUY and MICRO_ILLIQUID flags keep it from going higher.
Catalyst calendar
- Interim results for the six months to 30 Sep 2026: expected mid-November (last year 13 Nov 2025), with a GEM deadline of 30 Nov 2026. The board-meeting notice has not yet been issued, so the exact date is unconfirmed. The valuation is asset-based, so it does not need earnings growth, but a cash drop, new treasury losses or a loss larger than the HK$1.2M of FY2026 would hurt the base case. The next-print test is therefore not binding.
- Credit-linked notes: mature 9 May 2029 (long-dated; marks will move in the meantime).
- No dated catalyst for rerating (no buyback, special dividend, privatisation or strategic review announced).
Key risks
- Discounted placing under the 20% general mandate: the most direct way minorities lose the asset discount.
- Treasury losses or non-recoverable prepayments (HK$46.9M of deposits and prepayments are 24% of equity).
- Persistent operating losses and impairments eroding NAV.
- Liquidity: about HK$24k a day means exiting even HK$100k would take days and move the price.
- Governance: the large cash balance has not been returned to shareholders (no dividend); the gap to book has persisted.
What would prove us wrong: (1) interim results showing cash plus FVTPL falling by more than about HK$15M in six months without a clear business reason; (2) any placing, subscription or convertible announcement at or below HK$0.04; (3) a mark-to-market loss or credit event on the Bank of Singapore notes, or a write-off of the prepayments.
