Fair-Value Report — Tonking New Energy Group Holdings (8326.HK)
Insider Signal
Buyer: Rise Triumph Limited (BVI vehicle, 96%-owned by Mr. Wu Jian Nong; 3% Mr. Xu Shui Sheng; 1% Ms. Shen Meng Hong — all executive directors) / Mr. Wu Jian Nong (Chairman, CEO and controlling shareholder), reported concurrently at both the corporate-vehicle and individual level per standard HKEX disclosure mechanics.
Transaction: On-exchange purchase (HKEX DI reason code 1101), 53,300,000 shares at HK$0.12/share (~HK$6.40m), event date 20 Aug 2026, filed 24 Aug 2026. Concert-party stake rose from 61.12% to 65.47% (+4.35pp).
Context: Mr. Wu's vehicle, Rise Triumph Limited, became the Company's controlling shareholder via a formal, Takeovers-Code-regulated voluntary conditional cash offer that closed 21 May 2024 (61.12% control at close). The Aug-2026 purchase is a continuation of open-market accumulation roughly 27 months after that takeover — not a placing dressed up as a purchase, not a pledge/collateral artifact, and not an intra-group reshuffle (the same beneficial owner has been building this position steadily since taking control).
Secondary item, same filer, following day: on 21 Aug 2026 Mr. Wu separately subscribed for 4,000,000 newly-issued shares at HK$0.14 (reason code 1201, primary issuance) — an immaterial (~0.3% of shares out) top-up, not the flagged signal. Included for completeness; it does not change the assessment of the primary 1101 purchase.
Verified Snapshot
Shares outstanding: 1,227,000,000 per the FY2025 audited accounts (share capital HK$12.27m at HK$0.01 par), plus 4,000,000 shares from the 21 Aug 2026 subscription ≈ 1,231,000,000. Consistent with the DI filing's implied base (803.3m shares / 65.47% ≈ 1.227bn).
Business
Tonking is a Cayman-incorporated, HKEX GEM-listed (since 2013) investment holding company whose PRC subsidiaries — based in Jiangshan, Zhejiang — provide a "one-stop" value-added service for photovoltaic power stations: EPC (engineering, procurement, construction), operations & maintenance, testing, sale of patented PV tracking mounting-bracket systems, and electricity sales. 162 employees as of 31 March 2025. This is a real, audited operating business (auditor: Moore CPA Limited), not a shell — but it sits in a segment (PRC solar EPC/generation) currently absorbing a structural regulatory shock.
Valuation
Method: asset-based (P/B), not DCF. The company is still nominally profitable, but its FY2026 earnings power has just been reset ~90% lower by a sector-wide, non-discretionary policy change (China's Document 136, NDRC/NEA, effective 1 June 2025), which ended guaranteed fixed feed-in tariffs for new wind/solar generation in favour of market-based pricing. Projecting a DCF off either the pre-reform FY2025 earnings level or the still-unsettled FY2026 trough would be unreliable. Audited net assets (31 March 2025) provide the most defensible anchor; peer P/B multiples calibrate how the market is currently discounting this entire cohort.

Balance sheet (last audited, 31 March 2025)
| Item | HK$'000 |
|---|---|
| Total equity (net assets) | 375,801 |
| Equity attributable to owners | 357,197 |
| Cash & equivalents + restricted/pledged deposits | 80,672 + 44,084 |
| Bank & other borrowings (current + non-current) | 34,682 + 59,676 |
| Matured promissory note (current, unpaid at year-end) | 48,984 |
| Trade & bills receivables | 291,314 |
| Contract assets | 226,195 |
| Gearing ratio | ~29% |
Book value per share: HK$357.2m ÷ 1.227bn = HK$0.291. At the insider's HK$0.12 purchase price, that's a 0.41x multiple; at today's HK$0.14, ~0.48x.
Scenario table — P/B convergence
| Scenario | Assumption | NAV/share | P/B applied | Implied value |
|---|---|---|---|---|
| Bear (30%) | Further impairment on the HK$517m receivables + contract-asset book (a real PRC-renewables collection risk) haircuts NAV ~20%; P/B compresses to the peer median (~0.19x) as reform uncertainty persists | HK$0.23 | 0.19x | ~HK$0.04 |
| Base (45%) | NAV roughly holds near audited level; P/B stabilizes near today's ~0.45–0.50x as the market prices in the post-reform earnings reset but no further shock | HK$0.29 | 0.48x | ~HK$0.14 |
| Bull (25%) | NAV holds, EPC backlog (contract assets) converts cleanly to cash, provincial Document 136 rules settle with less severe pricing than feared; P/B re-rates toward 0.65–0.70x (still a deep discount to 1x) | HK$0.29 | 0.68x | ~HK$0.20 |
| Probability-weighted | ~HK$0.12–0.13 |
Reverse read
At HK$0.14, the market is pricing Tonking at ~0.48x its last audited book value and, on the FY2026 guided-profit midpoint (~HK$5.5m), an implied P/E near 30x — expensive-looking if FY2026 is treated as a "new normal" earnings base. On the pre-reform FY2025 base (HK$71.65m), the same price implies just ~2.4x earnings — statistically absurd, but that earnings level is very unlikely to recur under market-based tariffs. The honest read is that the market has already largely re-based Tonking for the tariff shock; today's price sits close to, not meaningfully below, a probability-weighted asset value. The insider's HK$0.12 fill was the better entry; HK$0.14 offers less obvious margin of safety.
Peer table (PRC renewable-energy HK micro-caps)
| Company | Ticker | Price (HK$) | Mkt cap (HK$m) | P/B | P/E (TTM) |
|---|---|---|---|---|---|
| Tonking New Energy | 8326.HK | 0.140 | ~170 | ~0.48x | ~31x (trough) / ~2.4x (FY25 base) |
| China Shuifa Singyes Energy Holdings | 750.HK | 0.203 | 497 | 0.105x | 15.9x |
| Solargiga Energy Holdings | 757.HK | 0.063 | 196 | 0.269x | loss-making |
Peer quotes as of 21 Aug 2026 (webull.hk). Peer median P/B ≈ 0.19x — Tonking trades at a premium to that median, arguably justified since it is the only one of the three still solidly GAAP-profitable, but it means Tonking is not the "cheapest" name in this distressed sub-sector. Micro-cap peer data is thin and multiples should be treated as directional, not precise.
Conclusion
Signal real, price roughly fair. The 20 August 2026 purchase is genuine open-market accumulation by the company's chairman/CEO and controlling shareholder, continuing a pattern established since he took control via a regulated 2024 takeover offer. Tonking is a real, audited, revenue-generating business — not a shell — trading at a meaningful discount to its last audited book value. But the discount is not unusually large versus a peer group that is even more heavily discounted, the FY2026 earnings reset (~90% profit decline from a genuine, sector-wide tariff reform) has not yet been audited, and a HK$49m promissory note that had already matured unpaid as of the last balance sheet date is an open liquidity question. On a risk-weighted asset basis, fair value clusters around HK$0.12–0.15 — close to, not clearly below, today's HK$0.14. Rating: Hold / Speculative — the insider's conviction is a genuine positive data point, but the stock does not screen as a clear bargain at the current quote pending FY2026 audited numbers.
Key Risks
- Data recency: the last audited balance sheet (31 March 2025) predates a ~90% profit-guidance cut; FY2026 audited results are not yet published (only a 15 June 2026 unaudited profit warning and a 28 Nov 2025 unaudited interim exist). Any book-value estimate for FY2026 in this report is derived, not filed.
- Structural sector reform: China's Document 136 (effective 1 June 2025) permanently ends fixed feed-in tariffs for new wind/solar; the "new normal" margin for Tonking's generation/EPC business is not yet established and provincial implementation rules are still being finalised.
- Receivables/contract-asset concentration: HK$291.3m trade receivables + HK$226.2m contract assets (both growing faster than revenue) versus HK$375.8m total equity is a large, PRC-counterparty-dependent exposure typical of the sector's history of subsidy/settlement arrears.
- Matured, unpaid promissory note of HK$48.98m sat as a current liability at 31 March 2025 — refinancing/rollover risk if not resolved.
- Thin free float: ~65% held by the controlling shareholder's concert party plus ~5% held in an employee share-award trust leaves roughly 30% free float on a GEM board stock — expect high volatility and shallow liquidity around any position.
- FX: operations are RMB-denominated, reporting currency is HK$, and the Group does not hedge.
- GEM listing: the Stock Exchange's own listing characteristics statement flags GEM as a higher-risk, higher-volatility board with no assurance of a liquid market.
