Fair-Value Report — Convenience Retail Asia (0831.HK)

Signal assessment — GENUINE OPEN-MARKET PURCHASE: Dr. William Fung is buying his own company's shares on the exchange. This is not a placing, subscription, pledge, scheme, intra-group reshuffle, or broker custodian position. He has made 4 purchases over the past 18 months (net +10.1M shares per GuruFocus; this August transaction is larger). His crossing of the 50% threshold is noteworthy from a corporate governance and control perspective — and may also reflect accumulation ahead of anticipated positive 1H 2026 results (scheduled for announcement August–September 2026; unconfirmed as of report date).
Caveat on motive opacity: The buyer is the controlling chairman, already at ~49% before this trade. The crossing of 50% may partly reflect a desire to entrench control above a simple-majority threshold rather than purely valuation conviction. Assess alongside the valuation case, not as a standalone strong signal.

Business Description
Convenience Retail Asia Ltd was formerly Hong Kong's Circle K licensee. After exiting convenience retail, the group now operates two segments:
- Bakery (~90% of revenue, HKD 1,297M in FY2025): Saint Honore cake shops and related bakery brands across Hong Kong and Macau. B2B bakery (supplying hotels, airlines, restaurants) is the growth engine — up double-digits in FY2025 while retail stores face structural headwinds (overall HK bakery market down ~9% in FY2025; CRA down only ~3%, indicating market-share gains). The Three-Year Plan (2026–2028) targets multi-brand specialty expansion and O2O capabilities; "Mon cher" brand is targeted for strong double-digit sales growth in 2026.
- Eyewear (~10% of revenue, HKD 148M in FY2025): Zoff fast-fashion eyewear franchise (Japanese brand). Zoff Hong Kong reported +1.7% growth in FY2025 despite weak broader retail; management is selectively expanding in HK and reportedly exploring Singapore.
Store count: 152 as at end-FY2025 (reduced from 157 in FY2024, reflecting network rationalisation). The group is structurally asset-light with HKD 208M net cash and HKD 649M total equity.
Valuation
Method: Earnings Power + Sum-of-Parts (SOTP)
Appropriate for a profitable operating company with a large cash balance. P/E multiples are applied to operating earnings (net profit less estimated after-tax interest income on cash), with cash valued separately at par. EV/EBITDA crosscheck is provided; note that reported EBITDA of HKD 92.4M is inflated by IFRS 16 lease capitalisation — economic EBITDA (adjusting for ~HKD 60M in ROU depreciation) is approximately HKD 32–40M, broadly consistent with operating income of HKD 47M. Discount rate used: 10% for base, 12% for bear (micro-cap risk premium).

| Bear — Continued decline | 18 | 8× | 144 | 170 | 314 | 0.40 | −7% |
| Weighted (50% base / 30% bear / 20% bull) | 0.58 | +35% | |||||
Bull: 1H 2026 results positive; Three-Year Plan executes; B2B bakery and Zoff expand; cash deployed productively. | Base: Revenue stabilises at -1 to -2%/yr; operating margin held; cash preserved; ~10% P/E on operating earnings appropriate for a cash-rich micro-cap. | Bear: Bakery further impaired by Hong Kong consumption weakness; cash erodes to HKD 170M over 2–3 years; multiple de-rates to 8×. | Bull net profit assumes operating earnings recovery driven by O2O and new channels; interest income held constant. Bear cash reduced assuming HKD 10M/yr net cash consumption.
Reverse Read
At HKD 0.4302, the market prices the operating business at approximately HKD 128M EV (after stripping out the HKD 208M cash). Against operating EBIT of HKD 47M, this is an EV/EBIT of 2.7× and an implied operating P/E of ~4.8× on operating earnings. The market is assigning essentially zero value to the Three-Year Plan growth initiatives and requires essentially no earnings growth or premium for the cash cushion. This is consistent with a permanent-decline thesis for the bakery segment — which is too pessimistic given the B2B growth, improving margins, and chairman conviction buying.
Peer Comparison Table
| Company | Ticker | Mkt Cap (HKD M) | P/E (TTM) | EV/EBITDA | Div Yield | Revenue Trend |
|---|---|---|---|---|---|---|
| Convenience Retail Asia | 0831.HK | 336 | 10× | 1.4× (rept'd) | 9.3% | −2.8% FY25 |
| Café de Coral Holdings | 0341.HK | ~5,400 | ~17× | ~11.8× | ~4% | Recovering |
| Fairwood Holdings | 0052.HK | ~700 | ~9× | ~5× | ~6% | Stable |
| Tsui Wah Holdings | 1314.HK | ~450 | Var. | Var. | Low | Mixed |
Peers sourced from GuruFocus, valueinvesting.io, Yahoo Finance; EV/EBITDA for peers not adjusted for IFRS 16 (consistent with reported basis). Note: the 1.4× reported EV/EBITDA for CRA is inflated by IFRS 16 lease capitalisation — economic EV/EBITDA is approximately 4–5× (still significant discount to Café de Coral at 11.8×). Peers are larger, more diversified, and more liquid — a size discount on CRA of 20–30% is appropriate.
Conclusion & Rating
Rating: Speculative Buy | Weighted Fair Value: HKD 0.58 | Price: HKD 0.43 (c. 17–20 Aug 2026)
Convenience Retail Asia is a cash-rich micro-cap where the market is effectively pricing the operating business at ~5× earnings and assigning zero credit for the Three-Year Plan. The HKD 208M net cash position (no bank debt) is 62% of the market cap and is real — it funds an unusually high 9.3% dividend yield. The bakery segment faces genuine headwinds (overall HK market down 9%), but the B2B channel is growing and management is rationalising the store network sensibly (profit up 41% despite revenue down 2.8%). The Zoff eyewear franchise is a small but differentiated asset.
The insider signal — Chairman William Fung crossing 50% — is genuine open-market accumulation, not a placing or scheme. However, the motive partially overlaps with control entrenchment (crossing a 50% threshold). Weighed alongside the compelling valuation, the stock merits a Speculative Buy with a base-case target of HKD 0.58 (35% upside). The bear case (HKD 0.40, -7%) reflects continued bakery erosion; downside is cushioned by the cash balance. The bull case (HKD 0.93, +116%) requires meaningful Three-Year Plan execution.
Position sizing caveat: With an estimated free float of ~332M shares (42%) but average daily turnover likely in the HKD 1–3M range, this is extremely illiquid. Build any position slowly; pricing impact is material even at moderate sizes.
Key Risks
- Revenue decline: HK consumer sentiment remains weak; the bakery industry contracted 9% in FY2025. If CRA's revenue declines 5–8%/yr, the cash cushion erodes and the bear case materialises.
- Micro-cap illiquidity: Minimal average daily volume; thin bid-ask; any selling of size could move the price significantly. This limits practical entry and exit.
- Family-controlled governance: Fung family controls >51%. Related-party transactions with Fung Group (logistics, distribution) require monitoring. Minority shareholders have limited influence.
- Dilution risk: 16.8M share options at HKD 0.365 (currently in-the-money); 2026 RSU scheme approved; general mandate for up to 10% share issuance. Maximum dilution potential ~10% of shares (~78M new shares).
- Timing of interim results: 1H 2026 results (to be announced August–September 2026) will update the picture. Chairman buying ahead of results may reflect insider knowledge of performance — or it may be routine accumulation.
- Eyewear execution: Zoff Singapore expansion is untested. Losses from a failed overseas foray could erode the cash buffer.
- IFRS 16 opacity: Reported EBITDA (HKD 92.4M) is not comparable to pre-IFRS 16 peers without adjustment. Lease commitments represent real obligations of ~HKD 60M/yr in effective rental payments.
