Fair-Value Report — Crypto Flow Technology Ltd. (8198.HK)

加幂科技有限公司 — GEM board, formerly Loto Interactive Limited
Rating: Avoid Price HK$1.00 (18 Sep 2026) Est. fair value ~HK$0.25–0.30 Mkt cap ~HK$784M Signal: real trade, wrong conclusion

Insider Signal

Buyer: Yeung Hin Ming, Bosco (楊軒銘 / transliterated "Yang Xuanming" in some Chinese-language filings) — an individual substantial shareholder, not a director, officer, or named member of management.
Filing: HKEX DI Form, reason code 1101 (on-exchange purchase), filed 16 Sep 2026 for event date 11 Sep 2026.
Trade: 16,836,000 shares at an average price of HK$2.00, value ≈ HK$33.67M.
Stake change: 42,471,605 shares (5.42%) → 59,307,605 shares (7.56%), Δ +2.14pp.
This is a genuine open-market trade, but it is not a fresh conviction signal, and the market has already repriced against it.
  • Bosco Yeung is not new money: he already held the 42.47M-share base position by mid-2025 (disclosed at 6.45% as of 30 Jun 2025, before three separate 2025 placings diluted that stake down to 5.42%). This filing is a top-up by an existing, unexplained shareholder, not a new entrant.
  • He is unrelated to the company's controlling shareholder bloc — Wanfeng Industrial Co., Ltd. / Manful Kingdom Limited, beneficially owned by Fu Jiepin (65%), Chairman Li Hongbin (25%), Liang Yun (5%) and Liu Weihong (5%) — which separately held 35.68% as of 2 Sep 2026 (diluted from 39.00% by the same-week placing described below). No public source links Bosco Yeung to this group, to management, or to any professional investment track record.
  • His HK$2.00 execution price is identical to the price of the company's own July 2025 share placing — coincidence or not, it is a suspiciously round, "placing-grade" price for an on-market purchase.
  • Within one week of this purchase, the stock fell to HK$1.00 — 50% below his cost basis. Whatever thesis motivated the buy, the market has already rejected it.
None of this meets the bar for a SKIP (it is not a subscription, pledge, control-default, intra-group reshuffle, employee scheme, or identified nominee/broker), so it proceeds to valuation below — but the signal itself carries very little information value.

Business

Crypto Flow Technology was known as Loto Interactive Limited (a lottery/gaming operator) until it rebranded on 12 October 2022 to chase the crypto theme. It has since re-pivoted its public narrative roughly every 6–12 months: mining infrastructure (2022–23) → "Web3.0 digital financial ecosystem" (2025 chairman's statement) → stablecoin exploration (a non-binding July 2025 MOU with a Vanuatu-licensed issuer that has not been reported as consummated) → "AI data centre / computing power" (September 2026, the stated use of proceeds for the latest placing).

FY2025 segment revenue (HK$47.236M total) was dominated by Big Data Centre Services (HK$45.178M, 96%) — largely a hosting/power-supply operation at an 11MW facility in Grant County, Indiana, USA; the Hong Kong data centre ceased operations in June 2025. The other three segments are immaterial in revenue terms: the "Web3.0" on-chain analytics platform ChainStream generated just HK$88,000; a newly acquired Australian crypto exchange/OTC subsidiary (Rhino Trading Pty Ltd, acquired Aug 2025) generated HK$294,000; and a Hong Kong money-lending book generated HK$1.676M interest income (its largest historical loan has been in part default since April 2024, with partial recovery ongoing).

Despite the "Crypto Flow" branding, the company's own balance sheet held only HK$3.522M of crypto assets (BTC/ETH/USDT) at 31 Dec 2025 — a rounding error against a HK$784M market cap. This is a data-centre/lending business wearing a Web3 narrative, not a crypto treasury company.

Valuation — Asset (P/B) + Scenario Optionality

Method rationale: the company is loss-making, pre-commercial in its newest segments, and has re-branded its business narrative multiple times in four years — the textbook case the playbook flags for asset-based valuation with scenario optionality, not a DCF. There is no demonstrated, durable free cash flow to project.

† H1 2026 balance-sheet detail was not obtainable from public sources at time of writing (only the profit-warning P&L figures were confirmed); flagged as a data gap rather than estimated. FY2025 net assets rose despite the large loss because HK$186.8M of gross proceeds were raised across three 2025 placings (see below) — growth in book value is dilution-funded, not earnings-funded.

The dilution pattern (why the balance sheet keeps growing while the business keeps losing money)

Four placings in eighteen months at prices ranging HK$0.305 → HK$3.11 → HK$1.50 is a serial-dilution funding model, not organic financing. The controlling shareholder bloc's own stake was diluted from 39.00% to 35.68% by the September 2026 round alone.

Pro-forma book value (estimate, not a filed figure)

FY2025 audited net assets HK$177.4M − H1 2026 unaudited loss HK$54.0M + Sep-2026 placing net proceeds ~HK$97.0M ≈ HK$220.4M, ÷ 784.23M current shares ≈ HK$0.28/share. This ignores any Jul–Sep 2026 operating losses not yet disclosed, so if anything it is likely to overstate current book value.

Reverse read

At HK$1.00, the market is pricing roughly 3.6x estimated pro-forma book value and ~18x trailing-twelve-month revenue (mkt cap ~HK$784M ÷ TTM revenue ~HK$42.6M) for a company whose H1 2026 loss alone (HK$54.0M) already exceeds its full FY2024 net loss, and whose core new-narrative segments (ChainStream, Rhino OTC) remain immaterial to revenue. Even the bull-case scenario above (HK$0.50) implies the stock is roughly 2x overvalued at the current quote — before considering that trading is on volumes as thin as 60,000 shares/day, which makes the last-print price weakly informative.

Sources: stockanalysis.com (0434.HK, 8093.HK, 8198.HK TTM figures, 18 Sep 2026). Peer set is a proxy — genuine same-sector, similar-size comparables for a hybrid data-centre/Web3-narrative GEM shell are scarce; both peers are also loss-making narrative-driven names, chosen for business-model similarity rather than close size match. Crypto Flow trades at 4–13x the sales multiple of these peers despite a comparable or worse loss profile — a valuation outlier, not a discount.

Conclusion

Rating: Avoid. The DI filing is a real, on-exchange purchase — it is not a placing, pledge, or insider reshuffle in disguise — but it is a top-up by an already-existing, unidentified shareholder with no board role, no disclosed track record, and no apparent link to management. The purchase price (HK$2.00) was already 50% higher than where the stock trades one week later (HK$1.00), so the trade itself is underwater and offers little as a "smart money" signal. Layered on top of that: an accelerating loss trajectory (H1 2026 loss already exceeds all of FY2024), a serial-dilution financing model (four placings in 18 months at wildly different prices), a narrative that has pivoted every 6–12 months without commercializing any of the pivots, and a valuation multiple (~18x sales, ~3.6x estimated book) that is a clear outlier versus comparable Hong Kong Web3-narrative shells. Signal real, price wrong — even crediting the AI data-centre story with real upside optionality (bull case ~HK$0.50), the current HK$1.00 quote looks roughly double fair value.
