Business Description
Amasse Capital Holdings Limited is a Hong Kong GEM-listed investment holding company. Its principal operating subsidiary, Amasse Capital Limited, holds SFC licences for Type 1 (Dealing in Securities, restricted scope), Type 4 (Advising on Securities), Type 6 (Advising on Corporate Finance), and Type 9 (Asset Management, restricted to professional investors). A second subsidiary, Amasse Asset Management Limited, holds Type 4 and 9.
Revenue streams (FY2025):
- Corporate finance advisory (FA & IFA roles): HKD 10.2M (84%) — one-off, project-driven fees from serving HK listed companies in takeovers, mergers, connected transactions, and acting as independent financial adviser
- Company secretary services: HKD 2.0M (16%) — recurring contracts, highest growth segment (+1.25× YoY)
- Asset management: HKD 0 in FY2025; being developed
Staff costs (HKD 12M in FY2025) routinely exceed revenue, a structural weakness of the corporate finance business during quiet markets. The Group has 20 employees. Its ultimate controlling shareholder remains Ms. Tse Fung Sum Flora (via Access Cheer Limited, BVI).
Strategic pivot (Dec 2025 onwards): Dragon Star Ltd (Amasse subsidiary) and ZhongFang International Investment Group jointly formed ZhongFang International Capital Management Ltd, targeting financial advisory for Belt & Road infrastructure projects, particularly real estate assets. This is the strategic link between the ZhongFang group (chaired by new CEO Xie Lei) and Amasse. The full board has been overhauled since October 2025, with legacy management replaced entirely by February 2026.
Valuation
Method: Asset-Based (P/Book) + Scenario Optionality — No DCF
A DCF is not appropriate here. The business is only marginally profitable at best, project revenues are lumpy, and the primary value drivers are the SFC licences and GEM listing status — assets that are better captured by asset multiples and scenario optionality. The H1 FY2026 profit (HKD 2.576M) is promising but represents one half-year of a highly variable business.

Scenario Analysis
| Scenario | Prob. | Methodology | FV (HKD/sh) | vs. HKD 0.086 |
|---|---|---|---|---|
| Bear — Back to losses; no strategic deal materialises | 25% | 1.5× book (HKD 0.038); licensing discount | 0.057 | −34% |
| Base — Marginal profitability sustained; strategic story progresses slowly | 45% | 2.0× book; ~20× normalised earnings | 0.076 | −12% |
| Bull — RTO / change of control; new business line contributes meaningfully | 30% | 3.5× book or shell premium of HKD 130–150M | 0.133 | +55% |
| Weighted fair value | 100% | 0.088 | +2% |
Reverse Read
At HKD 0.086, the market prices the company at 2.26× March 2026 book and ~24.8× annualised H1 FY2026 earnings. This is consistent with a market that believes the H1 profit is at least partially sustainable and that strategic optionality (RTO, new business) has real but uncertain value. Any reversion to prior-year losses (~HKD 6.5M/yr) would imply the current multiple is unsustainable — fair value would fall below HKD 0.06 in that scenario.
Peer Comparison
HK GEM-listed small financial advisory / IFA firms with SFC Type 6 licences form a thin peer set with sparse public data. The multiples below are indicative ranges drawn from observable HK micro-cap financial services transactions and listings, not individual verified quotes.
| Comparable | P/B | Notes |
|---|---|---|
| HK GEM financial-advisory shell (no profit) | 1.5–3.0× | Wide range; licence quality and cash position are key |
| HK GEM financial-advisory (marginal profit) | 2.0–4.0× | Improving profitability commands a modest re-rating |
| HK GEM active RTO target (pre-deal) | 4.0–8.0× | Shell premium; requires credible bidder |
| Amasse at HKD 0.086 | 2.26× | At the low end of the strategic-buyer range |
At 2.26× book, Amasse is fairly valued relative to the "marginal profit" peer bucket but below an outright RTO premium. The current multiple implicitly assigns perhaps a 25–30% probability to a near-term strategic event — broadly consistent with our weighted scenario above.
Conclusion & Rating
Rating: HOLD | Fair value: ~HKD 0.088 (range HKD 0.057–0.133) | Current price: HKD 0.086 (30 Jun 2026)
The insider signal from Yunfeng Meitu Co., Limited is genuine — two on-exchange purchases totalling HKD 20.7M, building to 11.83% ownership. The simultaneous arrival of new CEO Mr. Xie Lei (8.08% via China Real Estate Enterprise) and the ZhongFang strategic partnership confirms that Amasse is in active corporate transformation, not idle.
The first profitable half-year in recent memory (H1 FY2026: +HKD 2.576M) is an important inflection signal, driven by growing company-secretary revenue and possibly new advisory mandates from the ZhongFang network. Revenue growth has been consistent (+22% in FY2025).
However, the risk-adjusted return is near-zero at current prices. The weighted fair value of HKD 0.088 offers only 2% upside from HKD 0.086. The bull case (55% upside) is real but requires a strategic deal or sustained profitability that has not yet been demonstrated. The base case implies modest downside (−12%). The bear case (−34%, probability 25%) is not negligible — the project-driven revenue base can swing sharply, and the profitability is barely one half-year old.
Investors who already hold the stock at sub-HKD 0.07 levels (acquired before the insider buying) may find the risk-reward acceptable. New buyers at the current HKD 0.086 level are paying approximately fair value — no material margin of safety exists.
Signal real, price fair, risk high.
Key Risks
- Revenue reversion: Corporate finance advisory is one-off and lumpy. A dry period for HK M&A / listings activity can erase several quarters of revenue quickly.
- Staff cost structure: Employee benefits (HKD 12M in FY2025) are nearly equal to annual revenue. Structural profitability requires either revenue growth or headcount discipline.
- Dilution risk: Shares have increased ~23% (from 1,205M to 1,486M) since September 2025 through private placements at below-book prices. Further rounds are probable given the ongoing cash burn history.
- Opaque buyer: Yunfeng Meitu's identity, financial standing, and exit horizon are unknown. If they sell, the stock has no organic support at current levels.
- Board execution risk: The board has been entirely replaced since late 2025. New management (real estate backgrounds) entering financial services advisory creates meaningful execution uncertainty.
- Regulatory risk: SFC licences can be revoked or restricted. Type 9 (asset management) is currently dormant — loss of licence without productive use is a drag, not an asset.
- GEM shell premium erosion: Hong Kong's regulatory agenda has targeted GEM restructurings. Any tightening of back-door listing rules reduces the option value of the shell.
- Micro-cap illiquidity: Average daily turnover is negligible. Entry and exit at any scale will move the price meaningfully.
