Business Overview
Flat Glass Group (founded 1994, IPO on HKEX in 2015 and SSE) is one of the world's top-two producers of photovoltaic (PV) solar glass by melting capacity, alongside Xinyi Solar. PV glass accounted for ~90% of revenue and gross profit in FY2025. The company operates in Anhui, Guangxi, Jiangsu and overseas (Indonesia in development), with approximately 20,000–23,000 tonnes/day of active melting capacity as of early 2026.
Business model: Solar glass is a commoditised input into solar module manufacturing. Volume growth is structurally tied to global solar installation rates, but profitability is extremely sensitive to ASP/tonne — a commodity cycle driven by capacity additions vs demand. When the solar boom of 2022-2023 attracted massive capex from Flat Glass, Xinyi Solar, and dozens of second-tier entrants, supply outran demand, compressing ASPs and margins sharply from 2024 onward.
Competitive position: Flat Glass and Xinyi together command ~45–50% of global PV glass capacity. Scale is the primary moat — energy and materials cost per tonne are substantially lower at scale. The company's capacity expansion pipeline (Anhui Phase IV + Indonesia) positions it for volume growth once pricing recovers, but also adds to industry supply pressure in the near term.

Valuation
Method: Normalized P/E + P/B + Peer Multiple (Cyclical Trough Analysis)
A standard DCF is inappropriate here because near-term free cash flow is severely depressed by the cyclical trough (Q1 2026 net profit: RMB 38M, a 64% YoY decline). Instead, we use:
- Normalized earnings P/E — estimate mid-cycle EPS at each scenario's assumed margin recovery, apply a sector P/E consistent with that margin level.
- P/B cross-check — anchored to audited book value of RMB 9.65/share (HKD 10.52). ROE recovery drives P/B re-rating.
- Reverse read — what the current HKD 7.98 price implies.
Three-Scenario Valuation
| Scenario | Weight | Norm. Net Margin | Norm. EPS (RMB) | P/E Applied | P/B Cross-check | FV (HKD) |
|---|---|---|---|---|---|---|
| Bull — ASP Recovery + Consolidation | 20% | 8–9% | RMB 1.20 | 14× | 1.2× book | HKD 18.00 |
| Base — Gradual Recovery, 2026–2027 | 50% | 4–5% | RMB 0.70 | 14× | 0.85× book | HKD 10.50 |
| Bear — Prolonged Oversupply 2+ Years | 30% | 1–2% | RMB 0.20 | 18× | 0.50× book | HKD 5.00 |
| Probability-Weighted Fair Value | 100% | — | — | — | — | HKD 9.75 |
EPS converted to HKD at 1.09 HKD/CNY. P/B cross-checks: book value HKD 10.52/share (RMB 9.65 × 1.09). Bull assumes re-rating to near-cycle-peak multiples; bear reflects market placing low multiple on sustainably depressed earnings. Weighted average rounds to HKD 9.75. Base case anchor: HKD 10.50.
Reverse Read — What HKD 7.98 Implies
At HKD 7.98, the market is pricing either: (a) perpetual ~2% net margins on current revenue (RMB 0.30 EPS at 27× P/E — irrational), or more likely (b) roughly 0.76× book value, implying the market expects ROE to remain structurally below cost of equity (~10%) — i.e., the company destroys value at current returns. This is a pessimistic but not unreasonable view given the industry backdrop. For the bear case to be intrinsically fair, margins would need to stay near 1–2% for 3+ years. The founder buying HKD 30M of H-shares at this level is a direct challenge to that bear view.
Peer Comparison
| Company | Ticker | Revenue (FY25, RMB B) | Net Profit (RMB M) | Net Margin | P/E (ttm) | Analyst Target |
|---|---|---|---|---|---|---|
| Flat Glass Group | 6865.HK | 15.57 | 981 | 6.3% | ~18× | HKD 11.94 avg |
| Xinyi Solar Holdings | 968.HK | 20.86 | 845 | 4.0% | n/a | — |
Note: Xinyi Solar (968.HK) is the closest HK-listed peer. Xinyi's solar glass gross margin improved to 21.4% in 2025 (vs Flat Glass ~17–18%), reflecting Xinyi's stronger cost efficiency via larger overseas footprint. Flat Glass trades at a material P/B discount (~0.76×) vs book, which is unusual for a company with sound liquidity and zero going-concern risk. Peer universe for PV glass in HK is thin; Chinese A-share peers (e.g., 601865.SS Flat Glass A-share) typically trade at a premium to H shares.
Analyst consensus: Buy rating; average 12-month target HKD 11.94 (range: HKD 6.76–15.36). This aligns closely with our base case of HKD 10.50. The wide range reflects genuine uncertainty about the trajectory of ASP recovery.
Conclusion & Rating
⭐ SPECULATIVE BUY | Base Fair Value HKD 10.50 | Current Price HKD 7.98 (21-May-2026)
Flat Glass Group is a high-quality cyclical manufacturer at a cyclical earnings trough. The investment case rests on three pillars:
- Insider conviction: Executive Chairman Ruan Hongliang purchased ~HKD 30M of H-shares personally on 21-May-2026, near the 52-week low of HKD 7.65. He already holds ~20% of the total company — this additional H-share purchase signals he believes the H shares are materially mispriced relative to intrinsic value.
- Balance-sheet support: Book value of RMB 9.65/share (HKD 10.52) provides a floor. Total equity of RMB 22.6B; current price implies ~0.76× book — a level typically seen only in distressed or structurally declining businesses. Flat Glass is neither — it generated RMB 300M in operating cash flow even in Q1-2026's trough.
- Cyclical recovery optionality: Margins of 24% (2021), 13% (2022-2023) and now 1% (Q1-2026) confirm this is a cyclical, not a structural, compression. Industry rationalisation, cold-repair of excess capacity, and rising overseas solar installation rates (India local-content rules mid-2026, Indonesia rooftop quotas) are potential ASP stabilisers.
The rating is Speculative — not Moderate Buy — because:
- Q1-2026 net profit was only RMB 38M (annualised: ~RMB 150M, EPS ~RMB 0.064). No clear inflection point has been publicly confirmed.
- PV glass oversupply may persist for 6–18 months as new capacity continues to come online (including Flat Glass's own Anhui Phase IV).
- Convertible bonds of up to RMB 4B increase leverage risk if earnings remain depressed.
- China solar policy risk: any change to feed-in tariffs or module procurement rules could delay demand recovery.
Investor profile: Suitable for investors who understand commodity cycle investing, can hold 12–24 months for a recovery, and accept the risk of sustained bear-case losses. Position sizing should be commensurate with the speculative nature.
Key Risks
- Prolonged PV glass oversupply: Chinese capacity additions by Flat Glass itself and rivals (Xinyi, dozens of tier-2 players) may keep ASPs suppressed well beyond 2026.
- Margin leverage: A 1% revenue swing becomes a much larger swing in net profit at thin margins. Any revenue disappointment amplifies to the bottom line.
- Convertible bond dilution/refinancing: Up to RMB 4B in convertible bonds outstanding. If earnings remain low, these could face refinancing pressure or convert at a low price, diluting equity.
- A/H share discount persistence: H shares typically trade at discount to A shares for Chinese dual-listed companies. Any China capital market liberalisation reversal could widen this discount further.
- Founder concentration risk: Ruan Hongliang and family collectively control ~35–40% of total shares. While this aligns interests, corporate governance for minority H shareholders is typical of founder-controlled Chinese companies.
- China policy & tariff risk: US and EU solar tariffs on Chinese modules directly reduce demand for Chinese-made PV glass inputs. Escalating trade barriers could delay overseas demand absorption.
- Currency risk: Financials reported in CNY; H-share dividend paid in HKD. CNY depreciation against HKD reduces the effective dividend and earnings yield.
- Execution risk on Indonesia capacity: Overseas expansion adds FX, regulatory, and operational complexity.
