Fair-Value Report — Cocoon Holdings Limited (0428.HK)

by hkse-stock-research

中國天弓控股有限公司 — Investment Holding Company
Speculative Buy Price HK$0.19 (10 Sep 2026) Fair Value (haircut NAV) HK$0.27–0.58, base ≈HK$0.42 Signal: genuine open-market accumulation

Insider Signal

Filer: ZHANG YANGDONG (individual; no disclosed board/management role found)  |  Reason: HKEX DI reason 1101 — on-exchange purchase
Latest trade: 1,434,000 shares on 9 Sep 2026 at an average price of HK$0.21 (~HK$301,140), lifting the stake from 5.49% to 6.42% (9,910,000 shares)
Pattern: the filer first crossed the 5% substantial-shareholder threshold on 31 Jul 2026 (8,476,000 sh, 5.49%, avg cost ~HK$0.24) and has kept buying on-exchange since, even as the average cost has declined from HK$0.24 to HK$0.21 — consistent with a real, sustained accumulation rather than a single flag-crossing trade.

This is a genuine open-market purchase (reason 1101, non-broker individual filer) — not a placing, pledge, control-default, intra-group reshuffle, or employee scheme. It clears the Step 1 gate. Two caveats: the trade sizes are modest (~HK$300k), typical of a retail-scale accumulator rather than an institutional "smart money" signal, and the filer's relationship to the company (if any) is not disclosed in the filings reviewed.

Shares in issue grew from 128,548,531 (31 Dec 2025) to an implied ~154.4m by 9 Sep 2026 — roughly +20% dilution in under nine months. The company obtained a fresh share-issuance mandate (plus a 10%-buyback mandate) at its 15 Jun 2026 AGM; a prior placement in Aug 2025 priced 21.4m shares at HK$0.178, a ~19.5% discount to the pre-placement close. No H1 2026 interim results were found as of this report's publication (searched HKEXnews and aggregators) — FY2025 audited figures (8.5 months old) are the latest available and are well inside the 18-month recency threshold, but the NAV below has not been rolled forward for any 2026 trading gains/losses or the cash raised in 2026 dilution, which are unconfirmed.

Business

Cocoon Holdings (formerly Huge China Holdings) is a pure investment-holding vehicle with no operating business: 5 employees, an admin office in Sai Ying Pun, Hong Kong, and a single "segment" — investing in listed and unlisted securities for capital appreciation. FY2025 revenue was just HK$319,000 of dividend income; the reported swing to a HK$9.79m profit (from a HK$76.8m loss in FY2024) came entirely from mark-to-market gains and realised gains on its securities book, not from any underlying operations.

Valuation — Discount-to-NAV / SOTP with Quality Haircuts

An investment-holding shell like this should be valued on the quality-adjusted value of its asset book, not on an operating-earnings multiple. The FY2025 balance sheet (net assets HK$178.25m, NAV/share HK$1.39) breaks down as follows:

Asset bucketHK$'000% of total assetsQuality
Liquid listed blue chips (BYD, Xiaomi, Tencent, Alibaba, Tesla)28,26615.4%Real, liquid, daily-priced
US OTC Pink microcaps (Winchester, Readen, SNTE, GSGG)61,09933.3%Thin/illiquid OTC quotes; one holding (Winchester) alone is 22% of total assets on a 1.05% stake in a pre-production carmaker
Unlisted pre-listing stakes (LNPR, Chelsea Tech)29,05415.8%Private; both "seeking OTC listing" — no independent market price
Perfect Path (20% JV, gold mine, Anguilla) — FVTOCI57,36831.2%No control, no dividends since 2018 subscription; fair value set by a related third-party valuer using a market approach — booked a HK$28.5m unrealised gain in FY2025 alone
Cash, deposits & broker receivables4,8832.7%Real
Less: payables + promissory notes(5,429)——

Roughly 84% of book NAV sits in illiquid OTC-Pink, private, or related-party-valued assets with limited independent price discovery. We haircut each bucket by scenario and divide by the current ~154.4m diluted share count (i.e., we do not assume any of the 2026 dilution brought in offsetting cash — that is flagged as a risk, not a benefit):

Reverse read

At HK$0.19, the market cap (~HK$29.7m) is almost exactly equal to the value of the liquid blue-chip basket alone (HK$28.3m). In other words, the market is pricing Cocoon as if the OTC Pink microcaps, the two private pre-listing stakes, and the related-party-valued gold-mine JV — 84% of stated book NAV — are worth close to zero. That is a rational starting prior for a nano-cap shell with a history of dilutive placements, but it is more punitive than even our Bear case, which still implies ~44% upside. The gap only closes if you take the FY2025 marks at close to face value, which we are not prepared to do given the concentration in a single OTC Pink name (Winchester, 22% of assets on a sub-2% stake in a pre-revenue carmaker) and a related-party-valued private JV.

Even a credible, larger, real-operating-business HK investment holding company like Sun Hung Kai trades at a ~63–65% discount to book. Cocoon's current ~0.14x multiple (86% discount) is already at the deep end of the small-cap HK range shown above, which is defensible given its asset-quality profile — but it also means there is little margin of safety if the OTC Pink/private marks prove to be overstated.

Conclusion

Rating: Speculative Buy. The insider signal is genuine — a real, non-broker individual has been accumulating on-exchange for six-plus weeks, buying more even as the price fell, which is inconsistent with a cosmetic or forced trade. On a haircut-NAV basis, even the Bear scenario (HK$0.27) sits above the current HK$0.19 price, and the Base case (HK$0.42) implies over 100% upside. But this is a nano-cap shell: no operating business, 84% of book NAV in hard-to-verify assets, an active pattern of dilutive placements, an unexplained buyer, and no interim (H1 2026) update to confirm the NAV base is intact. Size any position accordingly — this is a statistically-cheap optionality bet on the shell's liquid basket plus a call option on the illiquid book being worth more than the market's near-zero assumption, not a core holding.
