Fair-Value Report — China Anchu Energy Storage (2399.HK)
A real buyer crossed 5% on-market — but into a pre-commercial "story pivot." China Anchu (formerly menswear maker China Fordoo) is reinventing itself around zinc-bromine flow batteries, a legitimate long-duration grid-storage technology. The problem is the numbers: FY2025 revenue −81% to RMB 88.5M, a RMB 295M net loss, debt-to-equity 171%, and (pre a Jan-2026 placement) under a year of cash runway. At HKD 0.305 it trades at ~3.5x book and ~15x sales — pricing in flow-battery success the company has yet to deliver. This is a venture-style bet on a fragile balance sheet, not a value buy.
1 · The insider signal that flagged this name
| Buyer | Xu Tingting & Zhou Jun (concert party, individuals) — not a broker/custodian |
| Signal | On-exchange purchase (HKEX reason 1101) — 40M shares at HKD 0.38, crossing 5% to 5.61% (200.5M shares), 2026-05-20 |
| Caveat | The stock has since fallen to HKD 0.305 — the buyers are already ~20% underwater; and 5.6% of a 3.57bn-share base is a small, minority position |
It's a genuine open-market buy (not a placement), which is why it cleared the screen — but it's a modest minority stake by individuals into a distressed, dilution-prone vehicle. One 5.6% buyer doesn't repair the balance sheet, and the entry is already in the red.
2 · Verified snapshot (price as of 2026-05-22)
| Balance sheet (31 Dec 2025) | Value (RMB) | Note |
|---|---|---|
| Total equity (book) | 291M | BVPS ~HK$0.088 → P/B 3.5x |
| Cash | 157M | +HK$288M raised Jan-2026 (post period-end) |
| Total debt | 497M | D/E 171%; net debt ~RMB 340M |
| Cash runway | < 1 year | negative FCF; capital-raise-dependent |
3 · Business — a pivot, not yet a business
Three segments — industrial products, menswear apparel, and energy-storage batteries — but the story is the pivot. Subsidiary Jiangsu HengAn Energy Technology holds IP in zinc-bromine flow batteries, pitched as a safer, long-duration alternative to lithium-ion for grid storage, with framework agreements for a planned 10GWh production base in Suqian. The technology is genuine and topical — but the unit is still in trial production, while the legacy menswear/industrial revenue is collapsing (−81%). So the company is mid-transformation, burning cash, and dependent on capital markets to fund the build-out.
4 · Valuation
Method. With no profits and a pre-commercial core, a FCF-DCF is meaningless. The honest lenses are tangible book (a weak floor — there's net debt, not net cash), an EV/Sales reality check, and a scenario/venture-optionality view on the flow-battery business.
4a · Multiple reality-check
| Metric | 2399 now | Context |
|---|---|---|
| P/B | 3.5x | rich for a loss-making, levered, cash-burning issuer |
| EV / Sales | ~15x | on revenue that fell 81% |
| Net cash | negative | net debt ~RMB 340M — no asset floor |
4b · Scenario fair value
| Scenario (weight) | Thesis | Fair value | vs HKD 0.305 |
|---|---|---|---|
| 🟢 Bull (20%) | Zinc-bromine flow battery commercialises — Suqian 10GWh ramps, real grid-storage revenue; story re-rates toward the 52-wk high | HKD 0.55 | +80% |
| 🟡 Base (50%) | Slow commercialisation, continued losses and dilution; settles modestly above eroded book | HKD 0.20 | −34% |
| 🔴 Bear (30%) | Pivot stalls, cash crunch, dilutive rescue / impairments; near eroded book | HKD 0.08 | −74% |
| Probability-weighted | 20 / 50 / 30 | HKD 0.23 | −23% |
Reverse read: at 3.5x book and 15x collapsing sales, the price already capitalises a successful flow-battery transformation. But scaling a 10GWh base is hugely capital-intensive on a balance sheet at 171% debt-to-equity — so even the bull outcome is diluted, and the base/bear cases (continued losses + raises) drag per-share value below today's price. The asymmetry runs the wrong way.
5 · Conclusion
The buy signal is real but thin — a 5.6% minority position, already underwater — and it sits on a company that is pre-commercial, loss-making, highly leveraged and capital-raise-dependent, yet valued at a premium (3.5x book, 15x sales) that already assumes the pivot works. Rating: Avoid / Speculative. Probability-weighted fair value ~HKD 0.23 (−23%), with a wide HKD 0.08–0.55 range. Only investors making an explicit, small, venture-style bet on zinc-bromine flow batteries reaching commercial scale — and willing to absorb heavy dilution and balance-sheet risk — should engage. On fundamentals today, the risk/reward is negative.
6 · Key risks
- Dilution — funding the energy-storage build-out requires repeated capital raises (HK$288M already placed in Jan-2026); per-share value leaks with each round.
- Leverage & liquidity — D/E 171%, net debt ~RMB 340M, sub-1-year runway pre-raise; refinancing/solvency risk.
- Collapsing legacy revenue — −81% in FY2025; the old business is fading faster than the new one is arriving.
- Execution / pre-commercial tech — zinc-bromine flow batteries are promising but unproven at scale for this company; the 10GWh plan is years and much capex away.
- Thin, erodable book — equity RMB 291M against a RMB 295M annual loss; further impairments could wipe much of it.
- Signal limits — a 5.6% buyer, already underwater, cannot fix the balance sheet.
- Micro-/small-cap volatility — 52-wk range 0.23–0.79; sharp swings on news and placements.
