Prior coverage note: This stock was previously researched on 29 June 2026 (then trading as China City Infrastructure Group Limited) and rated Avoid. This follow-up is triggered by a new DI filing (July 27, 2026) by Chairman & CEO Li Chao Bo and a material corporate development: a non-binding MOU for an AI data centre in France plus a name change to "China AI Infrastructure Group Ltd." Neither development changes the fundamental conclusion. The AVOID rating is maintained.

1. Insider Signal — Verification

Filer: Li Chao Bo (Chairman & CEO, controlling shareholder)

Reason code: 1101 / 1103 (on-/off-exchange purchase)

Filing date: 27 July 2026

Shares added: ~30.2 million shares at ~HKD 0.10/share

Trade value: ~HKD 3.02 million

Holding change: ~23.30% → 24.26% (+0.96 pp)

Signal quality: LOW CONVICTION. The purchase appears to be a genuine open-market accumulation (reason 1101/1103, not a placing or subscription). However, context significantly weakens the signal:

3. Business Description

Historical core: China City Infrastructure Group was a PRC-focused property developer operating in property development (residential), property investment, and property management. A secondary segment involves natural gas pipeline construction and operation under exclusive concession rights. Headquartered in Hong Kong, it conducts virtually all operations on the Chinese mainland. 131 employees. No dividend has been paid.

Pivot announcement (June 2026): On or around 18 June 2026 the company suspended trading citing "inside information." It subsequently announced a non-legally binding strategic cooperation agreement with ZTE-D France S.A.S. to co-develop a high-standard AI data centre at ZTE-D France's technology park in Poitiers, France. Key parameters disclosed:

Critical caveat: The agreement is explicitly non-legally binding. No financing, construction timeline, capex budget, or binding commitment to proceed has been publicly disclosed. Building a 15–20 MW hyperscale data centre in France typically costs EUR 200–400M+ — far beyond the company's current financial capacity (HKD 532M equity with HKD 96M/year losses). Without a disclosed funding plan, this agreement should be treated as an aspirational letter of intent, not an actionable project. Following the July name change, the company is still operationally a PRC property developer.

4. Valuation

Method: Asset-Based (P/B) with Scenario Optionality — appropriate for story-pivot / loss-making company

DCF is not applicable: the company has negative earnings, no near-term path to positive FCF from the existing property business, and the AI data centre project is unfunded and non-binding. P/B is the anchor. Book quality is assessed with significant haircuts given (1) ongoing losses eroding equity at ~18%/year; (2) PRC property market difficulties reducing realizable values; (3) going-concern risk if losses continue without fresh capital injection.

Book equity anchor (latest available): HKD 0.17/share (~HKD 532M total). This figure from investing.com TTM data is consistent with the trajectory from FY2024 audited equity of HKD 601.5M after ~HKD 69M of post-FY2024 losses to the present.

ScenarioBook/shareP/B AppliedFV/share (HKD)Key assumptions
Bear0.170.25×0.043PRC property assets impaired; AI pivot collapses; losses accelerate; potential going concern within 3 years
Base0.170.40×0.068Book erodes slowly; AI MOU produces no material activity; losses stabilise at ~HKD 70–80M/year; company survives but shrinks
Bull0.170.65×0.111MOU converts to funded deal with strategic partner; PRC property stabilises; new capital raised (likely dilutive); AI segment generates some revenue by 2028
Weighted (45/40/15)——0.068Bear 45% / Base 40% / Bull 15% — heavily weighted to downside given loss trajectory and non-binding AI commitment
Reverse read: At HKD 0.087 the market is pricing a P/B of ~0.51× on the reported book of HKD 0.17/share. That multiple sits above the base-case assumption and requires confidence that (a) the AI story will gain real substance and (b) book erosion will slow. Neither is evidenced. By comparison, genuinely distressed HK-listed small-cap PRC property developers with losses of this scale typically trade at P/B 0.15–0.35×. The "AI Infrastructure" rename is worth a modest multiple premium but a non-binding MOU with no disclosed funding plan does not justify a sustained 0.50×+ multiple.

Peer Comparison (illustrative; small HK-listed PRC property developers, loss-making segment)

Median peer range——0.18–0.30×—2349 trades at a clear premium to distressed peers

*Exact HK-listed peer trading data not independently verified in this report; peer range based on broad comparable universe observation. Users should verify current peer multiples. 2349's premium to peers appears driven by AI rebrand narrative, which is not yet substantiated by binding agreements.

5. Conclusion

AVOID. The insider buy by Chairman/CEO Li Chao Bo is technically a genuine open-market purchase, but it is narrative-sized (HKD 3.02M vs. HKD 96.2M/year in losses) and timed to coincide with the AI rebrand — characteristics of signal-boosting rather than fundamental conviction. The company's underlying property business is deteriorating (revenue down YoY, losses exceeding revenue). The AI pivot rests on a single non-binding MOU with no disclosed funding plan, construction timeline, or path to revenue.

The weighted fair value estimate of approximately HKD 0.068/share represents a ~22% discount to the current market price of HKD 0.087. Even the bull scenario (HKD 0.111) requires significant positive developments that are not in evidence. Book value is eroding at ~18%/year, creating a deteriorating anchor for any P/B-based floor.

This is the second consecutive Avoid rating for this stock (previous: 29 Jun 2026). The name change and French data centre MOU are not sufficient new information to alter the fundamental conclusion.
