Fair-Value Report — Jiangsu Expressway (0177.HK)
Insider Signal
Buyer: 江蘇交通控股有限公司 (Jiangsu Communications Holdings Co., Ltd.) & 江蘇雲杉資本管理有限公司 (Jiangsu Yunshan Capital Management Co., Ltd.)
Relationship: Jiangsu Communications Holdings (JTHS) is the state-owned controlling shareholder — it holds 54.44% of A-shares in Shanghai and now 14.02% of H-shares in Hong Kong. Yunshan Capital is its investment management subsidiary acting as a concert party.
Event date: 14 July 2026 | Reason code: 1101/1103 (on/off-exchange purchase by non-broker)
Shares acquired: ≈ 12.46 million H-shares | Consideration: HKD 119.6 million | Avg. acquisition price: HKD 9.576
H-share holding change: ≈ 13.00% → 14.02% (+1.02% of H-share capital)
Signal quality — GENUINE: This is an open-market purchase of H-shares by the existing controlling SOE shareholder. It is not a new-share subscription, placing, pledge artifact, intra-group reshuffle, or employee scheme. JTHS is buying H-shares at a ≈25% discount to where the equivalent A-share trades in Shanghai (A-share ≈ CNY 12.22 ≈ HKD 13.08 vs H-share HKD 9.58 at acquisition date). The controlling shareholder is effectively acquiring economic exposure at a significant discount to its own A-share price.

Business Description
Jiangsu Expressway operates and invests in toll expressways in Jiangsu Province, PRC — one of the most economically dynamic regions in China. Its flagship asset is the Jiangsu section of the Shanghai-Nanjing (Nanjing-Shanghai) Expressway, which carries over 110,000 vehicles/day and contributes approximately 45% of total toll revenue. The group also holds interests in several other expressways and ancillary businesses (service areas, logistics).
The company is currently in an investment phase, with RMB 16.5 billion committed to the G42 corridor expansion project. This explains why free cash flow turned negative in 2024–2025 (FCF: −CNY 864M in FY2025, −CNY 4,486M in FY2024) despite robust operating cash flows of CNY 6.8–7.4B per year. The expansion is expected to be substantially complete by 2027–2028, after which FCF should normalize strongly positive.
The state-owned controlling shareholder, Jiangsu Communications Holdings (JTHS), holds 54.44% of A-shares and (post-disclosure) 14.02% of H-shares. China Merchants Highway holds 11.69% of A-shares. The remaining H-share float includes institutional investors such as BlackRock (2.26%) and J.P. Morgan (1.47%).
Valuation
Method Selection
Jiangsu Expressway is a profitable, regulated operating company with stable, high-quality cash flows derived from long-term government concessions. FCF is temporarily negative due to peak capex, making FCF-DCF unreliable for current-year analysis. The appropriate primary methods are:
- Normalized P/E — using 3-year average EPS (2023–2025) to smooth one-off swings, applied against sector-comparable multiples
- Dividend Discount Model (DDM) — appropriate given the company's consistent high-payout policy and predictable dividend stream
- Cross-check against book value (trading at 0.84× BVPS is noteworthy for a quality infrastructure asset)

Reverse Read
At HKD 9.79, the market assigns a 9.1× P/E on TTM earnings — a multiple implying zero sustainable growth and a continued heavy discount to Chinese infrastructure quality. The embedded DDM cost of equity at 3% perpetual dividend growth is ~9.0% — reasonable but slightly punitive for a state-owned monopoly corridor. The market's embedded assumption: this is a melting-ice-cube with finite concession life and no reinvestment yield. The controlling shareholder's accumulation at 25% below A-share price challenges that read.
Peer Comparison (HK-Listed China Toll Roads, July 2026)

Source: stockanalysis.com, July 16 2026. All values in HKD. Note: Zhejiang market cap includes A+H share value; Jiangsu H-share cap shown for H-share investor perspective. Jiangsu's 9.1× P/E is in-line with peer median (~9.0×) but the asset quality (Shanghai-Nanjing volume, traffic density) commands a modest quality premium. Zhejiang at 6.5× appears optically cheap but includes Zheshang Securities, which adds cyclical risk.
Conclusion
Rating: Moderate Buy | Base Fair Value: HKD 10.25 | Price at analysis: HKD 9.79 (16 July 2026)
Jiangsu Expressway's controlling SOE shareholder is openly accumulating H-shares at a 25% discount to the A-share equivalent price. This is a rare, high-quality signal: the entity with the deepest knowledge of the company's regulatory outlook, concession terms, and underlying asset quality is putting real money (HKD 119.6M) into the H-share market at current prices.
The valuation case is straightforward: the stock trades at 9.1× P/E, 0.84× book value, and yields 5.8% — all compressed by (a) the H/A structural discount, (b) near-term FCF negative due to G42 capex cycle, and (c) market concern about eventual concession renewal terms. Against these, the bull case rests on G42 monetization from 2028, stable operating profitability (CNY 5.7B operating income is unbroken across three years), and the government's incentive to extend concessions for a strategically important corridor.
12-month expected total return: +4.7% price appreciation (base FV HKD 10.25) + 5.8% dividend yield = approximately 10–11%. This is attractive for a low-risk, SOE-backed infrastructure bond-proxy. Bull case (G42 + H/A convergence) offers HKD 12.50 (+33%).
This is not a high-conviction "Buy" because: (a) upside to base FV is modest at 4.7%; (b) negative FCF during the capex cycle creates dividend sustainability optics risk; (c) the concession renewal timeline for the Shanghai-Nanjing asset is not disclosed. Investors requiring FCF coverage before buying should wait for the 2026 annual results (expected March 2027) when post-G42 capex trajectory should clarify.
Key Risks
- Concession renewal risk: Long-term value depends on government renewing concessions on commercially viable terms. While no near-term major expiry was identified in public sources, investors should monitor annual report disclosures for concession end dates.
- Negative FCF during capex peak (2024–2026): Dividends are currently not fully covered by FCF and are partially debt-financed. If G42 costs overrun or revenues underperform, dividend coverage could tighten.
- Toll-fee reform: Beijing's push for logistics cost reduction has periodically resulted in toll exemptions (e.g., national holidays, pandemic) or rate reductions. A permanent policy shift would compress earnings.
- H/A discount persistence: The 25% H/A discount has been structurally persistent for Chinese dual-listed companies. The discount may not narrow on any predictable timeline, capping near-term re-rating potential for H-share investors.
- Traffic growth deceleration: Mature corridors see 1–2% annual traffic growth; economic slowdown could push this to zero, pressuring toll revenue.
- Capital allocation opacity: The co-existence of two JTHS-linked filers (JTHS + Yunshan Capital) introduces a layer of indirection; if Yunshan Capital manages third-party funds, the signal's economic weight is somewhat diluted.
- Currency: Company earns in CNY; H-shares settle in HKD. CNY/HKD fluctuations affect reported yields and returns for HKD-denominated investors (the HKD peg to USD partially mitigates this).
