Fair-Value Report — Guangdong Join-Share Financing Guarantee (1543.HK)
The stock trades at ~0.10x book — optically a 90% discount — but that discount is earned: trailing ROE is only ~0.4% and the trend is down. The peer set proves the point: across HK-listed Chinese financials, price-to-book tracks return-on-equity, and 1543 sits right on that line, in step with its near-twin Hanhua. This is an asymmetric option on ROE normalization, not a free lunch.
1 · The insider signal that flagged this name
| Buyer | Hong Kong Wellknown Tok Chin Limited — a privately-held HK entity; ultimate beneficial owner not disclosed in public sources |
| Signal | New substantial-shareholder entry — first ≥5% H-share interest disclosed; position ~10.5% of H-shares |
| Filing | HKEX Disclosure of Interests — report type C1, reason code 1001 (first became aware of ≥5%) |
| Dates / price | 2026-05-13 → 05-20, on-market around HKD 0.178–0.19 |
| Follow-through | Minor only: +0.15pp (05-18), −0.18pp (05-20) → established-and-holding, not aggressive accumulation |
Why it qualifies: a genuine beneficial buyer took a meaningful new stake — not a broker, custodian, index manager, or buyback-driven % change — plausibly a deep-value / discount-to-book play. Caveats: the buyer's identity and intent are unknown, the stake is passive-sized, and one holder buying ~10.5% near a 90%-discount-to-book does not, by itself, fix the company's return problem.

3 · Business
A Guangdong-based SME credit-enhancement group: financing guarantees (the core — ~RMB 6.2bn in-force, net guarantee-fee income ~RMB 86M in H1-2025) plus direct SME lending (net interest income ~RMB 44.6M H1-2025). Earnings are a fee/spread business levered to the Chinese SME credit cycle — which is exactly why FY2025 reversed: a profitable first half was wiped out by second-half credit costs (guarantee compensation / 代偿 / impairment). The franchise is regulated, capital-backed and conservatively levered (2.6x net assets vs China's ~10x cap), but its returns are cyclical and currently near zero.
4 · Valuation
Method. This is a financial balance-sheet business, so a free-cash-flow DCF is the wrong tool. The sector-appropriate anchor is justified price-to-book, P/B = (ROE − g) / (COE − g) (Gordon residual income), cross-checked against peers and normalized P/E.
Cost of equity (CAPM, China-adjusted): 4.55% risk-free + β 1.10 × (4.5% ERP + 0.75% China country-risk premium) = 10.25% base; + ~2.75% small-cap/illiquidity/credit premium → COE ≈ 13%. Long-run growth g = 2.5%. Book value/share = HKD 1.646.
4a · What ROE can this equity earn? (justified P/B)
| Sustainable ROE | Justified P/B | Fair value / sh | vs HKD 0.162 |
|---|---|---|---|
| FY2025 actual 0.44% | ~0 (neg.) | ~HKD 0.00 | earns < COE |
| Stress 2% | ~0 | ~HKD 0.00 | — |
| Market-implied 3.53% | 0.098x | HKD 0.161 | ≈ 0% (current) |
| Base 4% | 0.143x | HKD 0.235 | +45% |
| Recovery 6% | 0.333x | HKD 0.549 | +239% |
| Historic-good 7% | 0.429x | HKD 0.705 | +335% |
Reverse read: at HKD 0.162 the market already prices a sustainable ROE of ~3.5% — well above the 0.4% trailing, but below the company's better historical years. The 0.10x book is not a free lunch; it discounts a partial recovery. You make money only if ROE clears ~3.5% durably.
4b · Peer check — P/B is justified by ROE
The decisive cross-check the deep discount demands: among HK-listed Chinese financials, price-to-book moves with return-on-equity. The high-ROE name trades near book; the near-zero-ROE names trade at a fraction of it. 1543 sits squarely on that line — essentially identical to its direct business twin, Hanhua.
| Company (ticker) | Profile | Mkt cap | P/B | ROE | P/E |
|---|---|---|---|---|---|
| Guangdong Join-Share (1543) | SME guarantee + lending · micro-cap | HKD 0.25bn | 0.10x | 0.44% | ~22x |
| Hanhua Financial (3903) | SME guarantee + lending — direct twin | HKD 0.77bn | 0.09x | 0.18% | 16.9x |
| China Cinda (1359) | Distressed-asset AMC · low ROE | HKD 40.8bn | 0.16x | 0.09% | 19.2x |
| CITIC Financial Asset (2799) | Distressed-asset AMC · normalized ROE | HKD 50.6bn | 0.85x | 18.4% | 4.5x |
| Same-ROE-profile median (1543/3903/1359) | near-zero-ROE Chinese financials | — | 0.10x | ~0.2% | ~19x |
Peer figures as of 2026-05-22 (stockanalysis.com), except Hanhua (latest available, early 2026; P/B and ROE are structural). The relationship is clear: CITIC Financial Asset earns an ~18% ROE and trades near book (0.85x); the near-zero-ROE cohort (1543, Hanhua, Cinda) trades at 0.09–0.16x. 1543's 0.10x is what its ~0.4% ROE warrants — in line with same-profile peers, marginally cheaper than the larger, more liquid AMCs (appropriate for its size/illiquidity). It is not a mispriced outlier; a re-rating requires its ROE to migrate toward the CITIC-FAM end of the curve.
4c · Probability-weighted fair value
| Scenario (weight) | Driver | Fair value / sh |
|---|---|---|
| 🟢 Bull (25%) | ROE recovers to ~6% — SME credit stabilizes, fee margins recover | HKD 0.55 |
| 🟡 Base (50%) | ROE ~4% — partial normalization off a depressed base | HKD 0.24 |
| 🔴 Bear (25%) | ROE stays <2% — H2-2025 credit stress persists, book impairs | ~HKD 0.00–0.08 |
| Probability-weighted | 25 / 50 / 25 | ~HKD 0.25 (+57%) |
Normalized P/E cross-check: mid-cycle net profit of ~RMB 35–40M (toward FY2024 levels) on a ~RMB 233M market cap = ~6x normalized P/E — supportive of the bull/base case if normalization happens, unremarkable if it does not.
Asset view: RMB 2.37bn equity, RMB 0.89bn cash and conservative 2.6x guarantee leverage give genuine downside backing — so the Gordon model's "~0" bear almost certainly understates a true floor. But Chinese SME-guarantee books carry credit and contingent-liability risk that can erode stated equity, so the book should be haircut. Fair value sits between the return-based (going-concern) and asset (book) poles — hence the wide HKD 0.08–0.55 band.
5 · Conclusion & read-through to the insider buy
The optical "0.10x book" is the hook; the reality, confirmed by the peer curve, is a deep-value option on ROE normalization in a cyclically-stressed Chinese SME-credit franchise. At HKD 0.162 the price already embeds a recovery to ~3.5% ROE, so this is not an obvious bargain — it is asymmetric: large upside if returns mean-revert toward historical levels (or a corporate action crystallizes book), meaningful downside if FY2025's H2 credit stress persists and impairs equity.
The new ~10.5% holder is a mild positive — a real buyer sees value at this discount — but the stake is passive-sized, the buyer is unidentified, and one entrant does not change the earnings trajectory. Rating: Speculative Hold. Suitable only for risk-tolerant investors as a small, optionality-driven position; revisit on (a) evidence of ROE stabilizing/recovering in the next interim, or (b) a corporate catalyst (buyback, privatization, strategic stake-building beyond a passive holding).
6 · Key risks
- China SME credit cycle — the dominant driver; FY2025 H2 already swung into loss on credit costs.
- Off-balance-sheet exposure — ~RMB 6.2bn in-force guarantees; rising defaults/compensation hit earnings and can impair book.
- Book-quality / provisioning adequacy — coverage reported ~120%, but adequacy is unverifiable from outside; stated equity may overstate realizable value.
- Declining trend — revenue −20%, profit −75% in FY2025; ROE near zero.
- Micro-cap illiquidity — ~HKD 253M cap, −14.7% in a single session; thin float, wide spreads.
- Share structure — PRC JSC with domestic + H shares; per-share book and "market cap" conventions vary by vendor.
- Unknown buyer intent — the signal is suggestive, not confirmatory.
- Data caveats — FY2025 figures partly from results announcement/aggregators; confirm against the audited 2025 annual report.
