Fair-Value Report — Major Holdings Limited (1389.HK)

by hkse-stock-research

美捷滙控股有限公司 · Premium wine & spirits distribution, Hong Kong · Special situation: control change, offer terms not yet verified
Rating: Hold (special situation) Base-case FV HK$0.34 Last traded HK$0.52 (29 Sep 2026) — stale, halted since 2 Oct Book value HK$0.194/sh (31 Mar 2026) Report date: 12 Oct 2026

Rating caps and flags

Capped at Hold. Fired:
  • PRICE_MOVED (+52% vs the buyer's price): base case does not clear +25% vs the live price, so no Buy of any grade.
  • EXTENDED (+126% above the 52-week low) and MICRO_ILLIQUID (market cap ~HK$288M at the last print, turnover ~HK$72k/day per the screen). Both block Moderate Buy / Buy.
  • Stale price / unresolved halt: the HK$0.52 "live" price is a carried-forward print. Shares last traded on 29 Sep 2026 (16,000 shares) and have been halted since 2 Oct 2026 pending a Takeovers Code announcement. The price will gap on resumption.
  • Unverified offer terms: I could not retrieve the Takeovers Code announcement from HKEXnews as of 12 Oct 2026. Offer price and conditions below are inferred from the Takeovers Code minimum-price rule, not read from a filing.
Why not Speculative Sell: at the stale price the base case is 34% below it, which would technically qualify. Our past Avoid/Sell calls on takeover and backdoor-style names rose on average, and the price is not observable until trading resumes. Rating is revisited on the first post-resumption print.

The signal — and a correction

Filer: Max Premier Limited (BVI). Form 2 filed 9 Oct 2026; Forms 1 also filed by individuals Chen Jixiang and Zhao Chuanrong, the apparent ultimate owners. Reason code 1101 (purchase), beneficial owner, cash. 298,092,515 shares, 0% → 53.77%, average HK$0.3428 (≈HK$102.2M). Stated event date 5 Aug 2026; stated awareness date 5 Oct 2026. Issued shares 554,333,332.

This is not open-market accumulation. It looks like a change of control:

  • The FY2026 annual report (as at 31 Mar 2026) already shows Silver Tycoon Limited, wholly owned by executive chairman Cheung Chun To, holding exactly 298,092,515 shares (53.77%). Max Premier now reports the identical number. The controlling block appears to have been sold, not newly bought into the market. The seller was the incumbent insider, which cuts against the "smart money buying" read.
  • On 5 Oct 2026, 298M shares moved out of China Merchants Securities International and into Kingston (金利豐) Securities (HK$155M at 0.52), per a Zhitong report. The new holder's block therefore sits in a broker account, so financing or pledging cannot be ruled out.
  • The company halted on 2 Oct 2026 "pending the release of an announcement pursuant to the Hong Kong Code on Takeovers and Mergers which constitutes inside information". A >30% acquisition triggers a mandatory general offer under Rule 26 unless waived.
  • The DI "5 Aug" event date has no matching HKEX announcement in the 1 Jun – 12 Oct 2026 filings list. The date discrepancy is unexplained.

Unconfirmed: that Max Premier acquired the block from Silver Tycoon (inferred from the identical share count), and the size and terms of any offer.

Financials are in HKD (no FX). Audited FY to 31 Mar 2026, published 12 Jun 2026 (about 6 months old). No going-concern or material-uncertainty language was found in the results announcement (text search). Annual report states there were no significant events after the reporting period.

Business

Hong Kong-based seller and distributor of premium wine and spirits. Revenue fell to HK$52.8M in FY26. Gross profit turned positive (HK$6.4M) after a prior-year gross loss of HK$8.9M, which included inventory provisions of HK$2.8M. Overhead of HK$9.7M (selling plus administrative) exceeds gross profit, so the company is still loss-making at the operating line (−HK$1.8M).

The balance sheet is working-capital heavy and cash-thin:

Inventory plus prepayments, deposits and other receivables (HK$121M) exceed total equity (HK$107.8M): book value is illiquid wine stock and prepaid or receivable balances, not cash.

Valuation

Method: loss-making, working-capital-heavy distributor and a control transaction. P/B anchored on asset quality, with the control-transaction price as the base case. No FCF-DCF (negative earnings). P/S is not used (gross margin 12% < 30%).

ScenarioFV / share (HK$)vs HK$0.52Basis
Bull0.62+19%Re-run of the 22 Sep 2026 spike high (~0.61, ~3.2x book): new-owner story or asset-injection premium. No filing supports this; speculative.
Base0.34−34%The new owner's cost: HK$0.3428 (1.76x book). Also the Rule 26 floor for any mandatory offer if triggered.
Bear0.15−71%Book less a 30% haircut on HK$81.2M inventory (equity ≈ HK$83M, 0.78x reported book); no deal support, loss-making, thin cash.

We deliberately do not publish a probability-weighted value. Ratings here rest on the base case at the live price.

Reverse read

At HK$0.52 the market values the equity at 2.7x book and about 5.5x sales for a business with a 12% gross margin, a net loss, and HK$4.9M of cash. Alternatively, it prices in a ~52% premium to what the new controlling holder just paid. That is only sustainable if the offer is raised, an asset injection arrives, or illiquidity keeps the quoted price off any fundamental anchor (days with zero volume are common).

Peer table

A median-anchored peer table could not be built from verified data in this session: no clean, size-comparable HK-listed wine/spirits distributor set with filed financials was sourced. The only valuation anchors verified are the company's own: book value, the deal price (1.76x book) and the last traded price (2.7x book). Data limit flagged; no peer-multiple target was used.

Conclusion

The signal is real in the sense that control of the company has changed hands. The "insider buying" label is wrong. The incumbent chairman's vehicle appears to be the seller, and the buyer paid 1.76x book for a loss-making, inventory-heavy distributor. The last traded price sits 52% above that deal price on thin volume and cannot be treated as a live quote. On the base case there is no margin of safety, and there is no verified bid to anchor a special-situation upside, so Hold. The next information event (the Takeovers Code announcement and the post-resumption price) will decide whether this becomes a clean Sell, a Hold, or a genuine offer-spread trade.
