Fair-Value Report — InvesTech Holdings (1087.HK)

by hkse-stock-research

InvesTech Holdings Ltd  |  威訊控股有限公司  |  Stock Code: 1087.HK
AVOID Fair Value HKD 0.72–0.80 vs HKD 1.5553 (21 Jul 2026) ~51% Implied Downside China IT System Integration Loss-Making 5 Consecutive Years
Verdict: Signal Real — Price Wrong. Wong Chi Lung's accumulation is genuine open-market buying, but InvesTech is a persistent loss-maker trading at 1.6–2.0× book value that is eroding at >RMB 49M per year. The insider signal does not make the equity cheap; the market is pricing in a turnaround that the company's five-year track record does not yet support. Rating: AVOID.

Corporate Vehicle Caveat: Wong Chi Lung appears to hold shares through Smoothly Global Holdings Limited (~7.76% per prior disclosures). This makes his ultimate motive opaque — he could be a strategic investor, a financial investor seeking board representation, or a passive accumulator. Without clarity on his relationship to management or intent, this reduces the quality of the signal from "high conviction" to "worth noting."

Valuation — Methodology & Scenarios

Why Asset-Based (P/Book) — Not DCF

InvesTech has reported net losses in every year from FY2021 to FY2025 inclusive (RMB –17M → –36M → –41M → –64M → –49M). Free cash flow has been negative in four of five years (FCF FY2025: –RMB 77M). There is no visible path to sustained positive FCF within a 2-year horizon based on current trajectory. Applying a DCF to negative and volatile cash flows would produce highly unstable, misleadingly precise outputs. The appropriate primary method is P/Book (asset-based) with scenario analysis for optionality, consistent with the loss-making/turnaround framework.

Book Value Quality Assessment

Receivables Quality is the Central Risk. Trade receivables & contract assets stand at RMB 379.1M against revenue of RMB 566.9M, implying a DSO (Days Sales Outstanding) of approximately 244 days. In Chinese IT system integration, government and SOE customers often pay late, but 244 days is at the extreme upper end. If even 15–20% of receivables are ultimately uncollectible (RMB 57–76M), this alone would wipe out a large fraction of remaining equity. The company does not disclose an aging schedule in the annual results announcement; this is a material gap in disclosure.

Three-Scenario Valuation (Asset-Based)

Scenario Weight Narrative Est. Equity (RMB M) P/B Applied Mkt Cap (HKD M) Per Share (HKD)
Bear25% Receivables impairment 25% (–RMB 95M); goodwill fully written off (–RMB 103M); 2-yr further losses –RMB 100M; equity destroyed. Liquidation: investment properties (est. RMB 35M realised) + cash remnants (est. RMB 50M) = RMB 85M total; divided by 240M shares after HKD conversion Negative (distressed) — ~HKD 35M 0.15
Base50% Revenue grows to RMB 680M in FY2026, 800M in FY2027; gross margin improves to 12.5%; net losses narrow to –RMB 35M / –RMB 20M; goodwill impairment –RMB 40M over 2 yrs; receivables haircut 15%. Equity stabilises around RMB 130–160M. Market re-rates at 1.0× book given no profitability yet. ~140 1.0× ~HKD 155M 0.65
Bull25% Revenue reaches RMB 900M by FY2027 (25%+ CAGR); gross margin expands to 14%; company approaches EBITDA-level breakeven by late FY2027. Receivables improve (DSO falls to 180 days). Goodwill protected. Equity holds at ~RMB 185M. Market ascribes turnaround premium at 1.8× book. ~185 1.8× ~HKD 370M 1.54
Probability-Weighted FV 100% 25% × 0.15 + 50% × 0.65 + 25% × 1.54 — — — 0.75

Post-June-2026 placing proceeds of est. HKD 54M (40M shares × est. HKD 1.35 placing price) = RMB ~49M added to equity in all scenarios. HKD/RMB exchange rate applied at 0.905 throughout. Scenarios assume no further share issuance dilution; if further placings occur, per-share value declines proportionally.

Reverse-Read: What the Current Price Implies

At HKD 1.5553 per share with est. 240.3M shares, the market values InvesTech at HKD 373.8M (~RMB 338M). On December 2025 book equity of RMB 165M, this is approximately 2.05× book. For a 2.0× P/B to be rational, a company must earn a return on equity (ROE) materially above its cost of equity (we estimate ~14% for a micro-cap China IT stock). InvesTech's TTM ROE is –26%. To close this gap:

Implied turnaround requirement: The company would need to swing from –RMB 49M net loss to approximately +RMB 23–30M net profit (representing a RMB 72–79M earnings swing) and sustain it — roughly reaching a net margin of 4–5% on RMB 600M revenue — within 2–3 years. The company has never achieved this in its listed history. The bull-case scenario assigns this outcome only 25% probability.

Peer Table

Note: Directly comparable peers are scarce — InvesTech (HKD 374M cap, loss-making) falls between large profitable IT integrators and tiny GEM-listed shells. The comparables below illustrate the quality premium commanded by profitable peers.

Sources: MarketScreener, Investing.com, Yahoo Finance (Jul 2026). Peer financials approximate from available data; treat as directional only. ChinaSoft and Inspur are 26–33× larger by market cap — they are scale comparables only. Digital China (861.HK) trades at ~0.5× book as a loss-adjacent distributor, a more honest floor reference for InvesTech's quality tier.

Peer conclusion: InvesTech at P/B ~1.6–2.0× is priced like a profitable IT company (ChinaSoft at ~1.5×) but has deeply negative ROE. Profitable comparables in the sector trade at 1.0–1.5× book; loss-making distributors/integrators trade at 0.3–0.7×. InvesTech is overpriced relative to its financial quality. The only justification for a premium is a conviction that the current revenue growth rate will accelerate profitability — a bull scenario we assign only 25% probability.

Conclusion & Rating

Rating: AVOID. The insider signal from Wong Chi Lung is genuine — he is the third-largest shareholder (7.6%) adding approximately HKD 10.24M on the open market on 21 July 2026, seven weeks after the company's equity placing. This is not noise. However, the signal confirms conviction at HKD 1.5553; it does not make that price rational.

InvesTech is a structurally challenged micro-cap IT integrator in China. It has lost money in five consecutive years, shrinking equity from RMB 329M to RMB 165M and requiring a dilutive capital raise in June 2026 simply to maintain operations. The DSO of 244 days and the goodwill balance of RMB 103M (representing 62% of remaining book value) represent two landmines of significant potential. The company acknowledges "intensified competition, changing customer preferences, rapid technological changes" as existential threats to its smart office software segment.

Revenue growth of 21.7% in FY2025 is the lone positive. If this continues and operating leverage improves, a base-case stabilisation is possible — but five years of contrary evidence should not be overridden by one revenue print.

Probability-weighted fair value: HKD 0.72–0.80/share. At HKD 1.5553, the stock offers approximately 50% downside to fair value with asymmetric risk (bear scenario wipes out most of equity; bull scenario merely returns to current price). The risk/reward is unfavourable.

Key bull-case hurdle: If the company can demonstrate EBITDA-positive quarters in H2 2026 and show DSO improvement to below 180 days, this rating warrants revisiting at that point.
