Fair-Value Report — Superland Group Holdings (0368.HK)
Rating-caps box
- PRICE_MOVED (live HK$3.22 vs HK$0.375, +759%): fired. The move is up, so the base case would have to clear +25% from the live price to rate above Hold. It is −88%, so no Buy-type rating is possible.
- EXTENDED (+973% above the 52-week low): fired.
- FALLING_KNIFE (49% below the 52-week high of HK$6.30): fired. There is no reported earnings inflection to support it.
- Step 1b: the next-print test and the dilution/supply check both fire. See below.
- Avoid criteria met: base case ≥30% below the live price, plus a dated negative (public-float shortfall after the offer closed).
Insider-signal box (correction)
Filers: Grand Junction Intelligence Co., Limited (BVI; wholly owned via Grown Long X Technologies by Mr. Pang Weitao), with Mr. Pang Weitao and Mr. Pang Yatao (sole director of the offeror and brother of Mr. Pang Weitao). Reason code: 1101. Event dates: 12, 13 and 15 Oct 2026.
Size: +3.13% of issued shares (about 25m shares at HK$0.375 ≈ HK$9.39M). Grand Junction's holding is now 58.13% of the company.
What it really is:
- On 27 Jul 2026 Grand Junction (440m shares, 55%) and STF Ventures (160m shares, 20%) agreed to buy 600m shares (75%) from the vendor at HK$0.375 per share (HK$225M). This is from the HKEX joint announcement dated 4 Aug 2026.
- That triggered a mandatory unconditional cash offer at HK$0.375. The offeror stated the price is final and will not be increased.
- The DI filings in the screen are the offer's acceptances settling. Tiger Brokers' news feed reports the offer closed on 15 Oct 2026 with 6.07% take-up (about 48.6m shares, HK$18.2M), taking the concert group to 81.07%. I could not retrieve the HKEX results announcement itself, so this is a secondary source. It is consistent with the screen: 55% + 3.13% = 58.13%, and 3.13% × 800m × HK$0.375 = HK$9.39M, which matches the candidate's trade value.
- Because the market price (about HK$3) sat far above the offer price, holders who tendered at HK$0.375 gave up value. These are not open-market purchases by an insider, and they say nothing about whether HK$3.22 is a good price.
Verified snapshot
Financials are in HKD, so no FX conversion is needed. The FY2024 and FY2025 figures come from the offer announcement, which extracts them from the annual reports. The 1H2026 interim figures (below) come only from a news-aggregator summary, not the HKEX filing, and are flagged as unverified. The latest audited balance sheet is 31 Dec 2025, about 10 months old, so the data-recency guardrail is not triggered.
Business
Superland is a Hong Kong interior fitting-out and repair/maintenance contractor. Its customers are residential, clubhouse, hotel, shopping-mall and commercial projects. It also runs a small digital design platform (Oodles Smart), has about 250 employees, and was listed in 2020 (source: stockanalysis.com). It is a low-margin contractor: FY2025 profit was 2.5% of HK$900.8m revenue, and revenue was flat over two years (HK$902.3m in FY2024). New owner Mr. Pang Weitao has stated an intention to keep the existing business, "review" operations and "explore other business opportunities" after the offer. That language leaves room for later acquisitions or disposals, but it is not a catalyst with any dates or numbers attached.
Interim results for the six months to 30 June 2026 were announced on 31 Aug 2026. A news-aggregator summary reports revenue down 2.5% to HK$439.8m and profit up 133% to HK$9.9m on a one-off gain, with core earnings flat to lower. I could not verify this against the HKEX filing. On that basis I treat the earnings inflection as not demonstrated.
Valuation
Method: a profitable but low-margin, cyclical-exposed contractor, valued on normalised P/E and P/B and cross-checked against the arm's-length control transaction in July 2026. No DCF: growth is flat, and a DCF on HK$22m of profit would only echo the multiple assumption.
Verified anchor, the July 2026 control deal: HK$0.375/share equals HK$300M for 100%, which is 13.5x FY2025 earnings and 1.31x book. The buyer is a motivated, informed new controller, and this is a real price paid for 75%, not a quote. The offer price is also a floor-like reference only in the sense that it is what the controller thinks the business is worth. It is not a floor for the market price, which has traded above it throughout.
| Scenario | Assumption | Equity value | Per share | vs HK$3.22 |
|---|---|---|---|---|
| Bull | Profit rises to ~HK$30m (new owner injects work or assets), 20x P/E | HK$600m | HK$0.75 | −77% |
| Base | FY25-level profit (~HK$22m) at 14–15x P/E, about the control deal multiple (≈1.4x book) | HK$320m | HK$0.40 | −88% |
| Bear | Trough profit ~HK$20m at 10x, or fitting-out downturn, plus any float-restoring placing at a discount | HK$200m | HK$0.25 | −92% |
The scenario multiples are my judgement, anchored to the verified 13.5x control-deal multiple and the 1.3x book of the same deal. I did not verify current listed-peer multiples, so I do not publish a peer table that I cannot source. Treat the multiples as assumptions, not market data.
Reverse read
- At HK$3.22 the equity is valued at HK$2.58bn: 116x FY25 profit and 11.3x book.
- At the 13.5x multiple of the control deal, the business would have to earn about HK$190m a year, about 8.6x FY25 profit, to justify the price. Revenue has been flat at about HK$900m for two years.
- At a 5% net margin on current revenue, profit would be about HK$45m, so even a doubling of margins would leave the stock at about 57x.
Comparison table
| Reference | Price/share | P/E (FY25) | P/B |
|---|---|---|---|
| Control deal / mandatory offer (27 Jul 2026) | HK$0.375 | 13.5x | 1.31x |
| Last close before the halt, per offer announcement (about 79% above the offer) | ≈HK$1.80 | ≈65x | ≈6.3x |
| Live price (16 Oct 2026) | HK$3.22 | 116x | 11.3x |
The median-anchored listed-peer table is omitted because I could not verify peer multiples within this run. The only sourced valuation anchor is the control transaction.
Step 1b red-flag checks
- Filings sweep (last 120 days): I found no going-concern, qualification, suspension or default language. My sweep was not exhaustive, though: I could not open the HKEX title-search and relied on the offer announcement and news aggregators. The offer announcement itself states the company is profitable and not under any such cloud.
- Dilution and supply, fired: the offer has closed and the free float is about 18.9% (200m − 48.6m = 151m shares), below the 25% minimum. The announcement says the company will seek a temporary waiver, and the exchange can suspend trading or, if the shortfall is not cured within 18 months, cancel the listing. The usual remedy is a placing by the controller, which would put a large block on the market. I found no announcement of that yet. This is a dated negative.
- Catalysts and major news: no licensing, M&A or contract news found in the last 60 days. The stock fell from HK$4.60 to HK$3.12 on 16 Sep 2026 (−32%) on 7.7m shares of volume. I could not establish the cause; the composite offer document was due by 25 Sep. I won't claim a cause I haven't verified.
- Earnings quality: the reported 1H2026 profit jump (+133%) is attributed to a one-off gain, not verified. The business is cyclical (HK property/fit-out spending), so I use mid-cycle, not peak, margins.
- Next-print test, fired: FY2026 results are not due within 60 days (usually March), but the base case would need roughly 8.6x FY25 profit, so the test fails by construction.
Conclusion
The signal is real in the sense that the Pang family controls the company with 81.07% (per the offer-result summary) and paid HK$0.375 for it. It says nothing useful about HK$3.22. The control price was set by a buyer who knew the business. Since then the shares have traded as high as HK$6.30 on a thin float, with no reported change in the earnings base. The market price is a squeeze-type outcome with 18.9% free float, not a valuation. Rating: Avoid. Base-case fair value of about HK$0.40 compared with HK$3.22 is −88%, and the 25%-float requirement creates a dated supply risk.
Catalyst calendar
- 27 Jul 2026: SPA signed. 3–4 Aug: completion and mandatory offer announced. 15 Oct 2026: offer closed (per Tiger summary).
- Now onwards: public float restoration (a placing or sell-down by the controller is the usual route; none announced as of 16 Oct); risk of a trading suspension if the exchange sees a false market.
- Board changes and the controller's "business review": no dates given.
- FY2026 annual results: expected ~Mar 2027 (typical timing; no date announced).
Key risks (and what would prove us wrong)
- Thin float and squeeze: only ~151m shares are in public hands, and turnover is low. The price can stay far above fundamental value or go higher. This is the main risk to an Avoid rating.
- Asset injection: the controller could inject a valuable business (the announcement mentions he is active in "R&D centers and manufacturing facilities in the PRC"). The price may be discounting that, but nothing has been announced.
- Data limits: 1H2026 figures and the offer result are from secondary sources.
What would prove us wrong:
- A filed announcement of a reverse takeover or injection of earning assets with audited profit of at least ~HK$150m a year.
- Reported recurring profit (excluding one-offs) of at least ~HK$100m annualised in the FY2026 results.
- A significant public-float cure by means other than a discounted placing, with the stock holding above HK$3 afterwards on normal volumes.
