Fair-Value Report — Sipai Health Technology (0314.HK)

by hkse-stock-research

思派健康科技有限公司 · Refresh after H1 2026 results (supersedes the July 2026 note)
Hold Live price HK$1.395 (9 Oct 2026) Base-case FV ≈ HK$1.40 (≈0%) Bear HK$0.90 (−35%) / Bull HK$1.65 (+18%) P/B ≈ 0.95x
Verdict box — capped at Hold. The insider signal is real (executive directors, own funds), but the base-case fair value is about equal to the live price, so no Buy rating is earned (Step 2b consistency rule; Speculative Buy needs base FV ≥ +25%). The previous note rated this name Speculative Buy; the H1 2026 results and the pending cash-consuming acquisition do not support that any more.

Insider signal

  • Buyers: Executive directors Mr. MA Xuguang (Chairman) and Mr. LI Ji, through personal vehicles Lucky Seven Healthcare Co., Ltd. and Spire-succession Limited. The DI filer shown, Ocorian Fiduciary Services (Hong Kong) Limited, is the fiduciary agent behind those vehicles; the buyers are insiders, not an opaque fund.
  • Transaction: 3,640,000 shares each (7,280,000 in total, about 1.00% of issued shares) on 15 July 2026 at HK$1.40, with "their respective own funds". About HK$10.19m in total. Holdings after: Ma 60.64m shares (8.34%), Li 43.64m shares (6.00%).
  • Source: Company voluntary announcement, 15 July 2026. This is open-market-style accumulation, not a subscription, placing, pledge or intra-group transfer. It passes the Step 1 gate.
  • Context: The same announcement says the company bought back 22,400,200 shares between 1 Jan 2026 and 15 Jul 2026 for about HK$44.69m, an average of about HK$2.00. The buyback is running well above today's price, so it has not supported the stock. The mandate allows up to 72,989,391 shares (10%).
  • Reading: Positive on management alignment, but HK$10m is small next to a market cap of about HK$1.0bn. The insiders bought at HK$1.40 and the stock is flat since, so they are not under water yet.

Business

Sipai is a China healthcare services group with three segments: specialty pharmacy (dispensing high-cost drugs), physician research assistance, and commercial health-insurance services (corporate insurance plus the Hui Min Insurance product). It has 3,449 employees.

Valuation

Method: asset-based (P/B with quality haircuts) plus scenarios. The business is at best break-even on a normalized basis and the largest segment is shrinking by more than half. A DCF would rest on a recovery that is not yet reported, and price/sales does not apply to a 6.5%-margin pharmacy line. The valuation therefore rests on a book value made up mostly of cash and cash-like assets.

Book value quality (30 Jun 2026, RMB m)

Scenarios (per share, HK$; book ≈ HK$1.47)

ScenarioAssumptionsP/BFV (HK$)vs HK$1.395
Bull (25%)Insurance and physician segments keep growing; the Jianyi deal is accretive; buybacks continue; modest premium to book1.12x1.65+18%
Base (50%)Break-even normalized earnings, cash roughly intact after the acquisition is fairly priced; valued slightly below book given weak ROE and a shrinking top line0.95x1.400%
Bear (25%)About 25% impairment on receivables and contract assets (RMB 427m), the acquired business is worth well under its price, continued cash burn, discount to book widens0.61x0.90−35%
Probability-weighted (reference only; the rating uses the base case)1.34−4%

The bear case is deliberately not within 15% of the price. Book value is not treated as a floor: ROE is near zero, normalized earnings are barely positive, and most of the book is cash that is partly earmarked for an acquisition.

Reverse read

Market cap ≈ HK$1.01bn against cash and selected financial assets of about RMB 793m ≈ HK$0.91bn (about HK$1.25/share). The market therefore values the operating business at roughly HK$0.1bn, close to nil, against H1 gross profit of RMB 148m and normalized net profit of RMB 6.9m. That is not obviously expensive, but the discount is justified if cash is spent on a RMB 360m acquisition and operating cash flow stays negative. After the deal, cash would drop to roughly RMB 430m (about HK$0.68/share) and the rest of the market cap would depend on Jianyi and the insurance segment.

Peer table

CompanyPrice (HK$)P/BP/SNote
Sipai (0314)1.3950.99 (stockanalysis; ≈0.95 on my FX)≈0.5Net loss over 12m (−HK$10m); net cash
Alibaba Health (0241)2.8452.241.17ROE 11.3%, margin 5.7%
Ping An Good Doctor (1833)5.98n/a2.05ROE 4.7%, margin 8.5%

The peers are much larger and profitable, so they are weak comparables, and I could not verify a third like-for-like peer. I do not apply their multiples. They are shown only to illustrate that profitable platforms trade above book while Sipai, with ROE near zero, trades at about book. A discount to profitable peers is consistent with its returns. Sipai's P/S is my calculation from stockanalysis revenue of HK$1.83bn.

Conclusion

The signal is real: the chairman and the other executive director each bought about HK$5m with their own money at HK$1.40, and the company has been repurchasing shares. But at HK$1.395 the stock trades at about book value, the book is mostly cash that is partly committed to an unproven acquisition, receivables and contract assets are large, and the biggest segment is shrinking by more than half. The base case gives no upside, and the bear case is about −35%. Rating: Hold. It would need a lower price (a clear discount to net cash after the acquisition) or reported evidence that normalized profit and operating cash flow are positive to justify a Buy.
