Fair-Value Report — Mongolia Energy Corporation (0276.HK)
Rating-caps box
- Step 1b cap fired — going concern / disclaimer of opinion: at most Hold. Avoid is allowed because there are concrete negatives: a base case more than 30% below the live price, plus a dated negative catalyst (re-assessment of the tax within 6 months from 9 June 2026, i.e. by about December 2026).
- Flags: FALLING_KNIFE (42% below 52-week high), TOKEN_BUY (HK$1.05m = 1.05% of market cap, under HK$5M), MICRO_ILLIQUID (market cap HK$99.7m, turnover about HK$80k/day). These block any Moderate Buy / Buy; no Buy was considered.
- No PRICE_MOVED, RUN_UP or NON_INSIDER_BUYER flag fired (the buyer is an individual). The buyer is not an executive director.
- Caveat from our calibration: past Avoid/Sell calls on story stocks did rise on average. The call here rests on balance-sheet priority, not on "looks expensive".
Insider signal
- Buyer: Dashdemberel Bat-Erdene (individual; the market-context classifier says individual). He is not on the board and is separate from the Lo family (chairman Simon Lo, 16.12%).
- Reason code: 1101 (on-exchange purchase). Latest event 13 Oct 2026: about 1.85m shares at HK$0.564 (HK$1.05m). Holding now reported at 10.02% (per the screen). The etnet shareholder table (retrieved 16 Oct 2026) shows 16,997,850 shares / 9.03%, so it lags the latest filing.
- History: HKEX DI forms show earlier buys of 1.674m sh @ HK$0.730 (4 Mar 2026), 1.92m @ HK$0.610 (5 May 2026) and 1.95m @ HK$0.550 (21 May 2026), taking the holding to 15,167,850 sh / 8.06%. These are third-party aggregations of DI forms and I did not open each form.
- Correction: a steady 12-month averaging-down programme at prices from HK$0.73 to HK$0.55 is not a vote of confidence from someone with a board seat or information rights. Motive is opaque. A stake of this size may be positioning for a restructuring or for the Mongolian tax outcome. The scale (about HK$1m a trade) is small relative to the liabilities ahead of the equity.
Verified snapshot
Source: FY2026 results announcement, 24 Jun 2026 (HKEXnews, year ended 31 Mar 2026), consolidated in HK$. Latest financials are under 7 months old, so the data-recency guardrail does not apply.
- Reported profit HK$472m is not earnings. It includes a HK$526m fair-value gain on the convertible-note derivative, a HK$173m gain on derecognising a loan note, HK$246m of impairment reversals on PP&E and HK$31m on intangibles, and HK$95m of other gains. Ex these items the group lost roughly HK$0.5bn before tax (my arithmetic from the P&L: 575.8 − 525.6 − 172.9 − 245.6 − 31.4 − 94.8 ≈ −494).
- Gross profit fell to HK$393m (19.5% margin) from HK$851m (29.7%). Admin expenses were HK$337m, so operating profit before other items is near zero. Finance costs were HK$555m.
- Sales were 1.85Mt of clean coking coal at an average HK$1,082/t net (FY25: HK$1,441/t).
Business
Mongolia Energy mines, washes and sells coking and thermal coal in Mongolia through MoEnCo LLC (Ukhaa Khudag area). It sells to China-bound steel customers, so earnings track seaborne and Chinese coking-coal prices and cross-border logistics. Chairman Simon Lo (16.12%) is also the group's main lender, via advances (HK$891m, prime + 3%), loan notes and the 2025 convertible notes held by CTF and Golden Infinity.
Valuation
Method: a cyclical, over-levered operating company whose equity is a residual claim behind about HK$5bn+ of debt-like items, so it is valued as an option on enterprise value (EV) versus claims ahead of it, not by P/B (book is negative) or an FCF-DCF. Coking coal is cyclical, so I use mid-cycle assumptions in the base case and trough in the bear case.
| Claim ahead of equity (31 Mar 2026) | HK$m |
|---|---|
| 2025 convertible notes, principal (3%, due 28 May 2028; carrying value HK$3,791m) | 3,977 |
| Advances from a director (chairman), unsecured | 891 |
| Loan note (carrying value) | 541 |
| Short-term bank loan | 55 |
| Tax provisions (tax/penalty HK$500m + royalty payable HK$408m) | 909 |
| Less cash | (55) |
Against these, the tax demands outstanding total about HK$2bn (HK$902.6m for 2017–2020 and HK$1.12bn for 2021–2023). The remaining unprovided exposure is about HK$1.1bn.
| Scenario | Assumptions (judgemental, not filed figures) | FV / share | vs HK$0.53 |
|---|---|---|---|
| Bull (15%) | Coking coal recovers, tax cut to the HK$279m settlement offered, notes extended or part-converted with limited dilution; equity retains option value | HK$0.90 | +70% |
| Base (50%) | Mid-cycle EBITDA well below the HK$2.4bn+ of debt-like claims; equity valued as a time-limited option on EV up to May 2028 (conversion at HK$0.65 means noteholders, not ordinary holders, capture most upside) | HK$0.15 | −72% |
| Bear (35%) | Trough coal prices, tax re-assessed adversely, lender support withdrawn or debt-for-equity restructuring; ordinary equity near zero | HK$0.02 | −96% |
| Probability-weighted (for reference only; the rating uses the base case) | ≈HK$0.22 | −58% | |
These per-share values are my own scenario judgements. I did not build a DCF because there is no clean positive free cash flow to discount, and reported profit is driven by fair-value gains. Treat the numbers as indicative of order of magnitude, not as a precise target.
Reverse read — what HK$0.53 implies
HK$99.7m of market cap against more than HK$5bn of senior claims means the market pays for a lottery ticket: a coking-coal price spike or a restructuring that spares ordinary holders. Full conversion at HK$0.65 would add about 6.1bn shares (3,977/0.65) to 188m, leaving today's holders with about 3% of the company. The price therefore needs either a very large recovery in the value of the business or an unusually generous deal from the controlling lender.
Peer table
| Company | EV/EBITDA | P/B | Comment |
|---|---|---|---|
| Mongolian Mining (0975.HK) | 2.3x | 0.72x | Closest listed peer; market cap about HK$12.5bn; aggregator data, not verified against filings |
| Mongolia Energy (0276.HK) | n.m. | negative | Net liabilities; multiples not meaningful |
Only one comparable peer was verified. This is a thin peer set, so no median is claimed; the point is that even a peer that trades at about 2x EBITDA and 0.7x book has a positive-equity balance sheet, which Mongolia Energy lacks.
Step 1b red-flag checks
- Filings sweep: the FY2026 report (24 Jun 2026) carries a disclaimer of opinion based on going concern. The FY2025 report had the same disclaimer. The company publishes quarterly action-plan updates (the latest I read was dated 15 Jun 2026). Going concern depends on continued funding from the chairman, which management itself says is uncertain.
- Tax: the Administrative Court ruled for the tax authority in Feb 2026. On 9 June 2026 the Appellate Court remitted the 2017–2020 matter (HK$902.6m) to the tax authority for re-assessment within six months, so payment is suspended for now but the claim is not cancelled; either side may seek a Supreme Court cassation. The 2021–2023 demand (about HK$1.12bn) is under appeal and the authority has not yet responded. The company had earlier agreed in principle to a MNT 120.8bn (about HK$279m) settlement of royalty tax.
- Dilution and supply: the HK$0.65 conversion price is only 23% above the live price, so the overhang is large and near the money. I found no placing or rights issue within ±30 days of the 13 Oct buy, but I could not open HKEXnews for the last 30 days (search index only), so this is not fully cleared.
- Earnings quality: stripped of fair-value gains and impairment reversals the company lost money (see snapshot).
- Next-print test: interim results for the six months to 30 Sep 2026 are due by the end of November 2026 under the listing rules. Revenue and gross margin were falling through FY26, so I assume no improvement.
Conclusion
Avoid. The 10% holder's purchases are genuine open-market buys, but the equity is a deeply subordinated residual and the buyer has no board role. Rating on the base case at the live price: FV about HK$0.15 versus HK$0.53. The rating is auditable: Step 1b going-concern cap (Hold) was overridden to Avoid because the base case is more than 30% below the live price and there is a dated negative catalyst (tax re-assessment).
Catalyst calendar
- ~Dec 2026: deadline for the tax authority's re-assessment of 2017–2020 (six months from 9 Jun 2026); either side may go to the Supreme Court.
- By end Nov 2026: interim results (six months to 30 Sep 2026). Exact board-meeting date not announced in the sources I could open.
- Quarterly: action-plan updates on the disclaimer (the next one is likely around Sep–Oct, per the 15 Jun 2026 and prior pattern).
- 28 May 2028: maturity of the 2025 convertible notes.
Key risks
- To an Avoid call (upside risks): a coking-coal price spike; a favourable tax outcome (the court already sent the matter back once); lender support turning into debt forgiveness; a takeover or privatisation by the controlling family. The 10% holder may know something we do not.
- To the equity (downside): withdrawal of chairman support; adverse tax re-assessment; debt-for-equity swap; suspension if audit issues persist; extreme illiquidity (about HK$80k a day).
What would prove us wrong: (1) the tax authority re-assesses 2017–2020 at a materially lower figure, or the Supreme Court dismisses it; (2) the notes are restructured with a conversion price far above the market or are partially cancelled; (3) interim results show sustained positive operating cash flow after interest, with the auditor's disclaimer lifted.
